OFFICE LETTER whereby the terms of the authorization for the organization and operation of Banco Santander México, S are modified

Via office letter 312-3/93573/2023 dated January 3, 2023, this Commission approved, among others, the reform to the Seventh Article of the social statutes of Banco Santander México, S.A., Multiple Banking Institution, Santander México Financial Group ( Banco Santander ), due to the adjustment to its social capital from the amount of $32,485 ' 600,110.00 to the amount of $32,485 ' 600,109.44, in order to resolve the inconsistency between the amount of the social capital and the nominal value of the shares, in terms of the minutes of the general ordinary and extraordinary shareholders meeting held on July 19, 2022 that they remitted for such effect.

With a document presented to this Commission on March 15, 2023 through the email VPSupervisionGIFA@cnbv.gob.mx, in compliance with the requirement contained in our office letter 312- 3/ 93573/2023 previously referred, Banco Santander presented a certified copy of the public deed 107,377 dated January 11, 2023, granted before the faith of Licentiate Marco Antonio Ruiz Aguirre, public notary number 229 of Mexico City and registered in the Public Registry of Commerce of this same city on March 6, 2023, under the electronic commercial folio number 63608-1, in which the statutory modification in question was formalized.

Therefore, based on Article 8, last paragraph of the Credit Institutions Law, this Commission sees fit to modify the Fourth Base of the " Resolution whereby the organization and operation of a subsidiary multiple banking institution called Banco Santander (México), S.A. Multiple Banking Institution, Santander Financial Group is authorized " , currently called Banco Santander México, S.A., Multiple Banking Institution, Santander México Financial Group, granted by the Secretariat of the Treasury and Public Credit via office letter 101-374 dated May 27, 2008, published in the Official Gazette of the Federation on June 11, 2008, modified for the last time via office letter 312-3/10039041/2021 , issued by this Commission on November 8, 2021 and published in said Gazette on November 30, 2021, to remain in the following terms:

" ...

FOURTH. - The social capital of Banco Santander México, S.A., Multiple Banking Institution, Santander México Financial Group amounts to the quantity of $32,485 ' 600,109.44 (thirty-two thousand four hundred eighty-five million six hundred thousand one hundred nine pesos 44/100 M.N.).

... "

Likewise, based on Articles 8, last paragraph and 97 of the Credit Institutions Law and 19 of the Law of the National Banking and Securities Commission, Banco Santander is required to inform this authority the date of the publication of the text of this modification office letter, carried out in the Official Gazette of the Federation and in two newspapers of wide circulation of its social domicile, within a period of fifteen business days counted from the date of publication. The above, in the understanding that said publications must be processed within the fifteen business days following the date of receipt of this office letter.

This office letter is issued based on Articles 16, antepenultimate paragraph of the Law of the National Banking and Securities Commission; 14, 19, section X, 21, sections I, subsection c), II and III and last paragraph, 44, sections I and IV and 64 of the Internal Regulations of the National Banking and Securities Commission.
