Through office 312-3/14823/2021 dated June 3, 2021, this Commission approved the reform to the Second Clause of the corporate statutes of Banco Finterra, S.A., Multiple Banking Institution (Banco Finterra), due to the change to its corporate name to Banco Covalto, S.A., Multiple Banking Institution (Banco Covalto), in terms of the draft deed of ordinary and extraordinary general shareholders' meeting presented thereof.

With writings presented to this Commission on March 8 and 30, 2022, through the email VPSupervisionGIFA@cnbv.gob.mx, in compliance with the requirement contained in office 312-3/14823/2021 referred to above, Banco Covalto (formerly Banco Finterra), presented a copy of the first testimonial of public deed 49,423, dated February 28, 2022, granted before the faith of Attorney Luis Eduardo Paredes Sánchez, public notary number 180 of Mexico City, registered in the Public Registry of Commerce on March 25, 2022 under electronic commercial folio number 303991-1, in which the statute modification in question was formalized.

Therefore and based on Article 8, last paragraph of the Credit Institutions Law, this Commission sees fit to modify the Bases of the "Authorization for the organization and operation of a multiple banking institution to be called Banco Finterra, S.A., Multiple Banking Institution", contained in office P026/2014 dated March 25, 2014, issued by the National Banking and Securities Commission, published in the Official Gazette of the Federation on April 7, 2014, modified for the last time through office 312-1/66218/2018 dated March 20, 2018 and published in the cited Gazette on April 6, 2018, to remain in the following terms:

" ...

FIRST.- The corporate name of the society shall be Banco Covalto, S.A., Multiple Banking Institution.

... "

Also, based on Articles 8, last paragraph and 97 of the Credit Institutions Law and 19 of the National Banking and Securities Commission Law, Banco Covalto (formerly Banco Finterra) is required to inform this Commission of the publication date of the text of this modification office made in the Official Gazette of the Federation and in two newspapers of wide circulation of its corporate domicile, within a period of fifteen business days counted from the publication date. Said publications must be processed within fifteen business days following the date of receipt of this office.

This office is issued based on Articles 16, third-to-last paragraph of the National Banking and Securities Commission Law; and 14, 19, section X, 21, sections I, subsection c), II and III and last paragraph, 44, sections I and IV and 64 of the Internal Regulations of the National Banking and Securities Commission.
