By means of office 312-3/2511846/2022 dated November 14, 2022, this Commission considered presented the writing through which Punto Casa de Bolsa, S.A. de C.V. ( Punto CB ), informed the increase to its social capital for the amount of $20,000,000.00, of which $10,000,000.00 will correspond to its fixed portion and $10,000,000.00 to the variable portion, so that the capital of that stock brokerage firm would remain in the total amount of $247,000,000.00, of which $123,500,000.00 would correspond to the minimum fixed portion and $123,500,000.00 to the variable portion, in terms of the unanimous resolutions adopted outside of shareholders' meeting dated September 19, 2022, which they remitted for such effect.

In this regard, in compliance with the requirement contained in the aforementioned office, with writing presented on March 23, 2023, through the email VPSupervisionB@cnbv.gob.mx, Punto CB presented to this Commission a copy of the first testimonial of public deed 52,340 dated November 17, 2022, granted before the faith of Mr. Luis Eduardo Paredes Sánchez, public notary number 180 of Mexico City and registered in the Public Registry of Commerce of this same city on January 23, 2023, under the electronic commercial folio number 460057-1, in which the statutory modification in question was formalized.

Therefore, this Commission based on article 114, last paragraph of the Securities Market Law, has resolved to modify the First Base, Section III of the " Authorization for the organization and operation of the stock brokerage firm to be called Punto Casa de Bolsa, S.A. de C.V. " , contained in office 210-111/2011 issued by this authority on May 2, 2011 and published in the Official Gazette of the Federation on July 8 of the same year; modified for the last time by means of office 312-1/12758/2013 issued by this Commission on July 23, 2013 and published in said Gazette on September 11, 2013, to remain in the following terms:

The minimum fixed social capital of Punto Casa de Bolsa, S.A. de C.V., amounts to the quantity of $123,500,000.00 (one hundred twenty-three million five hundred thousand pesos 00/100 National Currency).

Likewise, based on articles 114, last paragraph and 350 and 360 of the Securities Market Law and 19 of the Law of the National Banking and Securities Commission, Punto CB is required to inform this authority the date of the publication of the text of this modification office, carried out in the Official Gazette of the Federation and in two newspapers of wide circulation of its corporate domicile, within a period of fifteen business days counted from the date of the aforementioned publications. The above, with the understanding that said publications must be processed within the fifteen business days following the date of receipt of this office.

This office is issued based on articles 16, antepenultimate paragraph of the Law of the National Banking and Securities Commission; 14, 19, section X, 26, sections I, subsection g), II and III and last paragraph, 44, sections I and IV and 64 of the Internal Regulations of the National Banking and Securities Commission.
