OFFICIAL LETTER modifying the terms of the authorization for the organization and operation of ABC Capital, S.A., Multiple Banking Institution (now Ualá, S.A., Multiple Banking Institution).

SUBJECT: THE TERMS OF THE AUTHORIZATION FOR THE ORGANIZATION AND OPERATION OF THAT ENTITY ARE MODIFIED.

Through official letters 312-2/93715/2023 and 312-2/42770/2024 dated February 17, 2023, and September 24, 2024, respectively, this Commission approved ABC Capital, S.A., Multiple Banking Institution (ABC Capital): i) the reform to clause Eighth of its bylaws, among other clauses, due to the increase in its social capital by the amount of $697,500,685.20 to reach a total sum of $1,678,616,753.55; and ii) the comprehensive reform of its bylaws, considering, among other topics, the change of its corporate name to "Ualá, S.A., Multiple Banking Institution", provided for in clause first of the aforementioned bylaws.

With writings submitted on May 29 and June 8, 2023, and November 27, 2024, through the email address VPSupervisionGIFA@cnbv.gob.mx and, in compliance with the requirement contained in the official letters referred to in the previous paragraph, ABC Capital sent to this Commission a certified copy of the documentation indicated below, in which the bylaw modifications in question were formalized:

Public Deed 2,551 dated March 6, 2023, granted before the notary public Lic. Alejandro Gastélum Carlón, public notary number 240 of the State of Sinaloa, and registered in the Public Commerce Registry of the State of Nuevo León (RPCNL) on May 15, 2023.

Public Deed 39,696 dated November 13, 2024, granted before the notary public Lic. Graciela Oliva Jiménez Godínez, public notary number 75 of the State of Mexico, and registered in the RPCNL on November 15, 2024.

For the above reason, based on article 8, last paragraph of the Credit Institutions Law (LIC), this Commission deems it appropriate to modify points First and Third of the "Resolution authorizing the organization and operation of a multiple banking institution named Banco Comercial del Noreste, S.A., Multiple Banking Institution" (currently ABC Capital), contained in official letter 101.-689 issued by the Ministry of Finance and Public Credit on November 22, 2006, and published in the Official Gazette of the Federation on January 2, 2007, last modified by official letter 312-2/14604/2021 issued by this authority on March 10, 2021, and published in the aforementioned Gazette on March 26 of the same year, to remain in the following terms:

" FIRST.- In exercise of the power granted to the Federal Government by article 8 of the Credit Institutions Law, this Ministry authorizes -subject to compliance with the measures and conditions established in this resolution- the organization and operation of a multiple banking institution named "Ualá, S.A., Multiple Banking Institution".

THIRD.- The social capital of Ualá, S.A., Multiple Banking Institution amounts to the sum of $1,678,616,753.55 (One billion six hundred seventy-eight million six hundred sixteen thousand seven hundred fifty-three pesos 55/100) national currency ".

Likewise, based on articles 8, last paragraph, and 97 of the LIC and 19 of the National Banking and Securities Commission Law, ABC Capital is required to inform this authority of the date of the publications made in the Official Gazette of the Federation and in two widely circulated newspapers of its social domicile, of this official letter of modification, within a period of fifteen business days counted from the date of the aforementioned publications, which must be processed within fifteen business days following the date of receipt of this official letter.

The foregoing is communicated based on articles 16, penultimate paragraph of the National Banking and Securities Commission Law; 14, 19, fraction X, 21, fractions I, subsection c), II and III, and last paragraph, 44, fractions I and IV, and 64, first paragraph of the Internal Regulations of the National Banking and Securities Commission.
