Official Letter Modifying Authorization Terms for Banco Azteca S.A., Multiple Banking Institution

The National Banking and Securities Commission modifies the authorization terms for Banco Azteca, S.A., Institución de Banca Múltiple to reflect an authorized social capital of $11,293,505,000.00 MXN. The entity is required to publish the text of this modification in the Official Federal Diary and two widely circulated newspapers within fifteen business days of receiving the letter, and to report the publication dates to the Commission within fifteen business days of the publication date.

OFFICIAL LETTER modifying the terms of the authorization for organization and operation granted to Banco Azteca S.A., Multiple Banking Institution.

The terms of the authorization for the organization and operation of that entity are modified.

BANCO AZTECA, S.A., MULTIPLE BANKING INSTITUTION

Through official letter 312-3/70370/2019 dated December 16, 2019, this Commission approved the reform to the bylaws of Banco Azteca, S.A., Multiple Banking Institution (Banco Azteca), in order to i) include a Twelfth Bis article that provides for the references and regulatory content established in Annex 1-R of the General Provisions applicable to credit institutions; and ii) modify the Seventh article, due to the increase in its authorized social capital by the amount of $3,650,000,000.00, to stand at the amount of $7,301,135,000.00, in accordance with the draft minutes of the extraordinary general shareholders' meeting that they sent for this purpose.

With official letter 312-3/14672/2021 dated March 22, 2021, this Commission approved the reform of the Seventh article of the bylaws of Banco Azteca, due to the increase in its authorized social capital from the amount of $7,301,135,000.00 to the amount of $14,578,505,000.00, in accordance with the minutes of the extraordinary general shareholders' meeting held on May 4, 2020, which they attached for that purpose.

Likewise, through official letter 312-3/14833/2021 dated June 24, 2021, this Commission approved the reform of the Seventh article of the bylaws of Banco Azteca, due to the decrease in its authorized social capital and its subsequent increase to the paid-in social capital, leaving the latter at the amount of $11,293,505,000.00, in accordance with the minutes of the ordinary and extraordinary general shareholders' meeting held on November 6, 2020, which they sent for this purpose.

With writings presented to this Commission on July 14, 2020, July 5 and September 29, 2021, through the email VPSupervisionGIFA@cnbv.gob.mx, in compliance with the requirements contained in the official letters 312-3/70370/2019, 312-3/14672/2021 and 312-3/14833/2021 referred to above, Banco Azteca presented a certified copy of public deed 143,452 dated December 12, 2019 granted before the notary public Eduardo Garduño García Villalobos, public notary number 135 of the City of Mexico and the first testimonies of deeds 154,379 and 156,657 dated April 9 and July 14 of 2021, granted before the notary public José Eugenio Castañeda Escobedo, public notary number 211 of the City of Mexico, all registered in the Public Registry of Commerce of this same city on the days March 12 of 2020, July 1, 2021 and September 27, 2021, all under the electronic commercial folio number 293658-1, in which the statutory modifications in question were formalized.

For the above and based on Article 8, last paragraph of the Credit Institutions Law, this Commission deems it appropriate to modify the terms of the "Resolution authorizing the organization and operation of a multiple banking institution to be called Banco Azteca, S.A.", contained in the official letter 101-312 dated March 25, 2002, issued by the Ministry of Finance and Public Credit, published in the Official Federal Diary on April 4, 2002, last modified by official letter 312-1/12722/ 2013 dated May 28, 2013 and published in said Diary on July 16, 2013, to remain in the following terms:

"... THIRD.- The social capital of Banco Azteca, S.A., Multiple Banking Institution, amounts to the amount of $11,293,505,000.00 (eleven billion two hundred ninety-three million five hundred five thousand pesos 00/100 M.N.). ..."

Likewise, based on Articles 8, last paragraph and 97 of the Credit Institutions Law and 19 of the National Banking and Securities Commission Law, Banco Azteca is required to inform this Commission of the date of publication of the text of this official letter of modification in the Official Federal Diary and in two widely circulated newspapers at its registered office, within a period of fifteen business days counted from the date of publication. These publications must be processed within the fifteen business days following the date of receipt of this official letter.

This official letter is issued based on Articles 16, penultimate paragraph of the Law of the National Banking and Securities Commission; 12, 17, fraction X, 19, fractions I, subsection c), II and III and last paragraph, 40, fractions I and IV and 58 of the Internal Regulations of the National Banking and Securities Commission.
