OFFICIAL LETTER modifying the terms of the authorization granted to Banco J.P. Morgan, S.A., Multiple Banking Institution, J.P. Morgan Financial Group, for its organization and operation.

The terms of the authorization for the organization and operation of that entity are modified.

By official letter 312-3/0246/2020 dated September 9, 2020, this Commission approved the reform to Clause Sixth of the bylaws of Banco J.P. Morgan, S.A., Multiple Banking Institution, J.P. Morgan Financial Group (Banco J.P. Morgan) due to the increase in its social capital from the amount of $4,244,402,000.00 to $6,244,402,000.00, in accordance with the minutes of the extraordinary general shareholders' meeting held on November 22, 2019, which were submitted for this purpose.

Likewise, with official letter 312-3/0247/2020 dated September 9, 2020, this Commission approved the reform to Clause Sixth of the bylaws of Banco J.P. Morgan, due to the increase in its social capital from the amount of $6,244,402,000.00 to $13,393,002,000.00, in accordance with the minutes of the extraordinary general shareholders' meeting held on March 31, 2020, which were attached for that effect.

With documents submitted to this Commission on March 30 and May 24, 2021, through the email VPSupervisionGIFA@cnbv.gob.mx, in compliance with the requirements contained in the aforementioned official letters 312-3/0246/2020 and 312-3/0247/2020, Banco J.P. Morgan presented certified copies of public deeds 92,170 and 92,173 dated January 14, 2021, granted before the authority of Licentiate Roberto Nuñez y Bandera, public notary number 1 of Mexico City, and registered in the Public Commerce Registry of this same city, the first on March 29, 2021, under electronic commercial folio number 195238-1 and the second on January 28, 2021, under electronic commercial folio 194212-1, in which the aforementioned bylaw modifications were formalized.

Therefore, and based on Article 8, last paragraph of the Credit Institutions Law, this Commission deems it appropriate to modify Point Third of the "RESOLUTION by which the constitution and operation of a Subsidiary Multiple Banking Institution named Chase Manhattan Bank México, S.A. is authorized", contained in official letter 101.-2401 dated November 21, 1994, issued by the Ministry of Finance and Public Credit, published in the Official Gazette of the Federation on November 28, 1994, last modified by official letter 312-1/49256/2012 dated July 16, 2012 and published in said Gazette on August 9, 2012, to read as follows:

THIRD.

The social capital of "Banco J.P. Morgan, S.A., Multiple Banking Institution, J.P. Morgan Financial Group" amounts to the sum of $13,393,002,000.00 (thirteen billion three hundred ninety-three million two thousand pesos 00/100 M.N.).

..."

Likewise, based on Articles 8, last paragraph and 97 of the Credit Institutions Law and 19 of the National Banking and Securities Commission Law, Banco J.P. Morgan is required to inform this authority of the date of publication of the text of this modification official letter in the Official Gazette of the Federation and in two widely circulated newspapers at its social domicile, within a period of fifteen business days counted from the date of publication. These publications must be processed within the fifteen business days following the date of receipt of this official letter.

This official letter is issued based on Articles 16, penultimate paragraph of the National Banking and Securities Commission Law; and 12, 17, fraction X, 19, fractions I, subsection c), II and III and last paragraph, 40, fractions I and IV and 58 of the Internal Regulations of the National Banking and Securities Commission.
