The National Banking and Securities Commission modifies the authorization terms for PayPal Payments Mexico, S.A.P.I. de C.V., to reflect its change of corporate name from Inguz Digital, S.A.P.I. de C.V. and to update its fixed share capital to $6,785,388.00 MXN represented by 2,907,968 ordinary Class I shares. The entity is authorized to organize and operate under the new denomination PayPal Payments Mexico, S.A.P.I. de C.V., Electronic Payment Fund Institution.

SUBJECT: THE TERMS OF THE AUTHORIZATION TO ORGANIZE AND OPERATE OF THAT ELECTRONIC PAYMENT FUND INSTITUTION ARE MODIFIED.

We refer to the document submitted to this National Banking and Securities Commission ("Commission") on October 21, 2025, through the authorized institutional email autorizacionfintech@cnbv.gob.mx, in accordance with what is provided in the "Agreement establishing administrative measures for the continuity of the activities of the National Banking and Securities Commission in the attention of matters processed before it, during the health contingency caused by COVID-19", published in the Official Gazette of the Federation ("DOF") on July 15, 2020, by virtue of which PayPal Payments Mexico, S.A.P.I. de C.V., Electronic Payment Fund Institution ("PayPal" or "Entity"), formerly Inguz Digital, S.A.P.I. de C.V., Electronic Payment Fund Institution ("Inguz"), submitted the protocolization of the agreements adopted in the unanimous resolutions taken outside the General Shareholders' Meeting held on October 21, 2025, due to the change of its corporate name and to reflect the fixed part of the current share capital. Therefore, in attention to your document, based on articles 11, 12, 22 and 25 of the Law to Regulate Financial Technology Institutions, the FIRST and FOURTH bases of the authorization granted to Inguz to organize and operate as an electronic payment fund institution via official letter P040/2021, dated March 16, 2021, published in the Official Gazette of the Federation on March 23, 2021, are modified, to remain in the following terms:
FIRST.- The name of the company will be PayPal Payments Mexico, S.A.P.I. de C.V., Electronic Payment Fund Institution.

FOURTH.- The amount of its share capital will be $6,785,388.00 (six million seven hundred eighty-five thousand three hundred eighty-eight pesos 00/100 M.N.), represented by 2,907,968 (two million nine hundred seven thousand nine hundred sixty-eight) ordinary shares, nominative Class I, without nominal value expression, which are representative of the fixed social capital without right to withdrawal.

This official letter is issued based on the legal provisions cited above, as well as in exercise of the powers conferred on this Commission by articles 142 and 145, fraction IV of the LRITF; 1, 3, fraction V, 4, fractions I, subsection B and II, subsection B, numerals 22) and 32), 14, 35, fractions I, subsection b), III and last paragraph, 45, fraction I, 64, first paragraph, in correlation with article 61, second paragraph of the Internal Regulations of the National Banking and Securities Commission, published in the DOF on February 28, 2022, as well as article 9, fraction II of the Agreement by which the Administrative Units of the National Banking and Securities Commission are organizationally assigned, published in the DOF on April 18, 2022 and modified by Agreement published in the aforementioned Journal on August 17, 2023 and June 20, 2025.
