OFFICIAL LETTER modifying the terms of the authorization to organize and operate granted to Unión de Crédito Agrícola de Huatabampo, S.A. de C.V.

We refer to the documents received on November 30, 2020, and February 26, 2021, by which, in compliance with the requirement contained in Official Letter No. 311-69029/2020 dated October 27, 2020, they send to this National Banking and Securities Commission (Commission), through the email address autespecializadas@cnbv.gob.mx, a digital copy of public instrument number 16,220 dated November 13, 2020, granted before Licentiate Miguel Enrique Martínez Serrato, Public Notary number 19 of the State of Sonora, and registered in the Public Commerce Registry of the same State with folio 2111, in which the modification to clause seventh of the bylaws of Unión de Crédito Agrícola de Huatabampo, S.A. de C.V. was formalized, due to the increase in the social capital of said entity, to remain at the amount of $120,000,000.00 (One hundred twenty million pesos 00/100 MXN), in terms of the agreements adopted by the extraordinary general shareholders' meeting held on July 25, 2019.

Therefore, and based on articles 14 and 16 of the Credit Unions Law, this Commission deems it appropriate to modify point SECOND, fraction II of the authorization to organize and operate that was granted to that Credit Union, through Official Letter No. 601-II-26139 dated August 20, 1954, to remain in the following terms:

II.- The authorized social capital will be $120 ' 000,000.00 (One hundred twenty million pesos 00/100 MXN),

integrated by 120,000,000 (One hundred twenty million) registered shares with a nominal value of $1.00

(One peso 00/100 MXN) each. The capital will be divided into two series of shares: series " A " , will correspond to the fixed or minimum capital without withdrawal rights and will be integrated by 119,900,000 (One hundred nineteen million

nine hundred thousand) shares equivalent to an amount of $119 ' 900,000.00 (One hundred nineteen million

nine hundred thousand pesos 00/100 MXN), series " B " , will represent the variable capital, with withdrawal rights and will be

represented by 100,000 (One hundred thousand) shares, equivalent to an amount of $100,000.00 (One hundred thousand pesos 00/ 100 MXN). ------------------------------------------------------------------------------------------------------------------------------------ -------------------------- ---------------------------------------------------------------------------------------------------------------------

Furthermore, and based on articles 14, penultimate paragraph, and 78, first paragraph of the Credit Unions Law and 19 of the National Banking and Securities Commission Law, you are required to inform this authority of the date of the publication made in the Federal Official Gazette of this modification official letter, within a term of ten business days counted from the date of the aforementioned publication, which must be processed within fifteen business days following the date of receipt of this official letter.
