OFFICIAL LETTER whereby the Bases of the authorization for the organization and operation of Banco Bancrea, S.A. are modified

By means of official letter 312-2/14645/2021 dated May 27, 2021, this Commission approved to that entity the reform to the seventh clause of the social statutes of that entity, due to the increase to its share capital from $1,280,000,000.00 to $1,380,632,928.00.

With written submission presented on July 8, 2021, through the email address VPSupervisionGIFA@cnbv.gob.mx, in compliance with the requirement contained in the official letter referred to in the preceding paragraph, they remit to this Commission a certified copy of the first testimony of public deed 30,126 dated June 3, 2021, granted before the faith of Attorney Cesar Alberto Villanueva Garcia, public notary number 23 of Monterrey, Nuevo Leon and registered in the Public Registry of Property and Commerce of that same city on June 23, 2021, in which the statutory modification in question was formalized.

Therefore and based on Article 8, last paragraph of the Credit Institutions Law, this Commission sees fit to modify the Fifth Base of the "Authorization for the organization and operation of a multiple banking institution to be called Bancrea, S.A., Multiple Banking Institution", now Banco Bancrea, S.A., Multiple Banking Institution, contained in official letter P050/2013 dated June 18, 2013, published in the Official Gazette of the Federation (DOF) on July 15 of the same year, modified for the last time by means of official letter 312-2/14600/2021 dated March 10, 2021 and published in the own DOF on April 23, 2021, to remain in the following terms:

"...

FIFTH.- The amount of its paid-in share capital shall be $1,380,632,928.00 (one billion three hundred eighty million six hundred thirty-two thousand nine hundred twenty-eight pesos 00/100) M.N.

..."

Likewise and based on Articles 8, last paragraph and 97 of the Credit Institutions Law and 19 of the National Banking and Securities Commission Law, that entity is required to inform this authority of the date of the publications made in the DOF and in two newspapers of wide circulation of its corporate domicile, of this present modification official letter, within a period of fifteen business days counted from the date of the aforementioned publications, which must be processed within the fifteen business days following the date of receipt of this official letter.

This present official letter is issued based on Articles 16, antepenultimate paragraph of the National Banking and Securities Commission Law, 14, 19, section X, 21, sections I, subsection c), II and III and last paragraph, 44, sections I and IV, 61, second paragraph and 64, first paragraph of the Internal Regulations of the National Banking and Securities Commission.
