The National Banking and Securities Commission modifies the Fifth Base of the authorization for Banco Forjadores, S.A., Institución de Banca Múltiple to reflect a social capital of $531,316,150.00 MXN, resulting from two capital increases formalized in public deeds. The entity is required to publish the modification in the Official Gazette and two widely circulated newspapers within fifteen business days of receiving the letter, and to report the publication dates to the Commission within fifteen business days following those publications.

OFFICIAL LETTER modifying the Authorization Bases for the organization and operation of Banco Forjadores, S.A., Multiple Banking Institution.

Through official letters 312-2/70337/2019 and 312-2/0297/2020 dated December 3, 2019, and October 15, 2020, respectively, this Commission approved Banco Forjadores, S.A., Institución de Banca Múltiple, the reforms to the seventh article of the corporate bylaws of that entity, due to two increases in its social capital, bringing it to the sum of $531,316,150.00.
With writings submitted on December 7, 2020, and November 3, 2021, through the email VPSupervisionGIFA@cnbv.gob.mx and in compliance with the requirements contained in the official letters referred to in the preceding paragraph, they send to this Commission certified copies of public deeds 24,303 and 26,092 dated December 16, 2019, and October 20, 2020, respectively, granted before the notary public Lic. Raúl Rodríguez Piña, public notary number 249 of Mexico City, and registered in the Public Registry of Property and Commerce of this same city on October 25, 2021, and November 11, 2020, respectively, in which the statutory modifications in question were formalized.
Therefore, and based on the last paragraph of Article 8 of the Credit Institutions Law, this Commission deems it appropriate to modify the Fifth Base of the "Authorization for the organization and operation of a multiple banking institution to be called Banco Forjadores, S.A., Institución de Banca Múltiple and other acts indicated," contained in official letter 100/023/2012 dated September 18, 2012, published in the Official Gazette of the Federation on October 10 of the same year, last modified by official letter 312-3/70261/2019 issued on November 1, 2019, and published in the same Gazette on November 27 of the same year, to read as follows:
"...
FIFTH.- The social capital of Banco Forjadores, S.A., Institución de Banca Múltiple, is $531,316,150.00 (five hundred thirty-one million three hundred sixteen thousand one hundred fifty pesos 00/100) national currency.
..."
Likewise, based on the last paragraph of Article 8 and Article 97 of the Credit Institutions Law and Article 19 of the National Banking and Securities Commission Law, this entity is required to inform this authority of the dates of the publications made in the Official Gazette of the Federation and in two widely circulated newspapers of its social domicile, of this modification official letter, within a period of fifteen business days counted from the date of the aforementioned publications, which must be processed within fifteen business days following the date of receipt of this official letter.
This official letter is issued based on Articles 16, the third-to-last paragraph of the National Banking and Securities Commission Law; 12, 17, fraction X, 19, fractions I, subsection c), II and III, and the last paragraph, 40, fractions I and IV, and 58, first paragraph of the Internal Regulations of the National Banking and Securities Commission.
