Official Letter Modifying the Authorization of La Peninsular Seguros, S.A. Due to Name Change and Domicile Relocation

OFFICIAL LETTER through which the proemium, as well as Articles One and Three, subsections I and III, of the authorization granted to La Peninsular Seguros, S.A. are modified, derived from the addition of the expression "Multivalores Grupo Financiero" to its name, as well as the change of its social domicile from Mérida, Yucatán, to Mexico City.

At the margin, a seal with the National Coat of Arms, which reads: United Mexican States.- Ministry of Finance and Public Credit.- Undersecretariat of Finance and Public Credit.- Unit of Insurance, Pensions and Social Security.- 366-079/08.- 731.1/33079.

AUTHORIZATIONS TO INSURANCE INSTITUTIONS.- The authorization granted to that institution is modified by addition to its name and change of domicile.

LA PENINSULAR SEGUROS, S.A. (now LA PENINSULAR SEGUROS, S.A. MULTIVALORES GRUPO FINANCIERO, by virtue of the authorization granted to them).

In view of the fact that through official letter 366-IV-717/08 of this same date, approval was granted for the reforms agreed upon in their corporate bylaws, highlighting the addition to their name of the expression "Multivalores Grupo Financiero", as well as the change of their social domicile from Mérida, Yucatán, to Mexico City, which is contained in the testimony of deed No. 24,083 granted on February 18, 2008,

before the notary public Lic. Arturo Talavera Autrique, Public Notary No. 122, with practice in the Federal District, this Ministry, based on articles 31, fractions VIII and XXV of the Organic Law of the Federal Public Administration, 5th of the General Law of Insurance and Mutual Societies, and 32, fraction VIII of the Internal Regulations of the Ministry of Finance and Public Credit, has resolved to issue the following:

AGREED

The PROEMUM, as well as Articles ONE and THREE, subsections I and III of the authorization granted through official letter 366-IV-4100 of December 11, 1995, modified with the various 366-IV-5260 of October 4, 1996, 366-IV-4360 and 366-IV-6014 on July 10 and October 6, 1997, respectively, 366-IV-159 of May 11, 1999, 366-IV-1755 of April 3, 2002, and 366-IV-2653/06 of November 29, 2006, to La Peninsular Seguros, S.A. to function as an insurance institution, in order to carry out life, accident and illness insurance operations, in the lines of personal accidents and medical expenses, damage in the lines of civil liability and professional risks, maritime and transport, fire, automobiles, credit exclusively in reinsurance, miscellaneous, as well as earthquake and other catastrophic risks, to remain in the following form:

"AUTHORIZATION GRANTED BY THE FEDERAL GOVERNMENT, THROUGH THE MINISTRY OF FINANCE AND PUBLIC CREDIT, TO LA PENINSULAR SEGUROS, S.A., MULTIVALORES GRUPO FINANCIERO, TO FUNCTION AS AN INSURANCE INSTITUTION, UNDER THE FOLLOWING TERMS:

ARTICLE ONE.- In exercise of the power conferred on the Federal Government through the Ministry of Finance and Public Credit by article 5th of the General Law of Insurance and Mutual Societies, La Peninsular Seguros, S.A., Multivalores Grupo Financiero, is authorized to function as an insurance institution.

ARTICLE THREE.-
