The National Banking and Securities Commission modifies the social capital of Deutsche Bank Mexico, S.A., Multiple Banking Institution to $708,782,000.00 MXN, reflecting a decrease resulting from the entity's spin-off. Deutsche Bank is required to publish the text of this modification in the Official Federal Diary and two widely circulated newspapers within fifteen business days of receiving the official letter. The publication must also be reported to the Commission within fifteen business days from the date of publication.

Through official letter 312-3/0301/2020 dated October 8, 2020, this Commission approved the reform to Article Sixth of the bylaws of Deutsche Bank Mexico, S.A., Multiple Banking Institution (Deutsche Bank), due to the reduction of its social capital from $708,832,000.00 to $708,782,000.00, as a consequence of its spin-off, in accordance with the draft minutes of the extraordinary general shareholders' meeting submitted for this purpose.
With a submission presented to this Commission on October 27, 2020, through the email addresses VPSupervisionGIFA@cnbv.gob.mx and VPSupervisionGIFB@cnbv.gob.mx, and in compliance with the requirement contained in the aforementioned official letter 312-3/0301/2020, Deutsche Bank submitted to this Commission a copy of public deed 153,964 dated October 16, 2020, granted before the notary public Lic. Joaquín Cáceres Jiménez O'Farrill, public notary number 132 of Mexico City, and registered in the Public Registry of Commerce of this same city on October 22, 2020, under electronic commercial folio 262411-1, in which the statutory modification in question was formalized.
Therefore, and based on Article 8, last paragraph, of the Credit Institutions Law, this Commission deems it appropriate to modify Resolution Second, of the "Resolution authorizing the constitution and operation of a multiple banking institution subsidiary to be named Deutsche Bank Mexico, S.A., Multiple Banking Institution," contained in official letter 101-67 dated January 21, 2000, issued by the Ministry of Finance and Public Credit, published in the Official Federal Diary on February 16, 2000, last modified by official letter 101-1427 dated August 31, 2000, and published in said Diary on November 17, 2000, to read as follows:
"...
Second: The social capital of Deutsche Bank Mexico, S.A., Multiple Banking Institution, shall be $708,782,000.00 (seven hundred eight million seven hundred eighty-two thousand pesos 00/100 M.N.).
..."
Likewise, based on Articles 8, last paragraph, and 97 of the Credit Institutions Law and Article 19 of the National Banking and Securities Commission Law, Deutsche Bank is required to inform this authority of the date of publication of the text of this modification official letter in the Official Federal Diary and in two widely circulated newspapers at its registered office, within a period of fifteen business days counted from the date of publication. These publications must be processed within the fifteen business days following the date of receipt of this official letter.
This official letter is issued based on Articles 16, penultimate paragraph, of the National Banking and Securities Commission Law; and Articles 12, 17, fraction X, 19, fractions I, subsection c), II and III, and last paragraph, and 40, fractions I and IV, of the Internal Regulations of the National Banking and Securities Commission.
