The National Banking and Securities Commission modifies the Fifth Base of the authorization for Banco PagaTodo, S.A., to reflect a total social capital of $386,300,000.00 Mexican pesos following three capital increases. Through Official Letter No.: 312-1/0085/2020 dated February 27, 2020, this Commission approved the reform to the seventh article of the bylaws of Banco PagaTodo, S.A., Multiple Banking Institution (PagaTodo), due to the following increases in its social capital: (i) $12,000,000.00 (twelve million pesos 00/100 M.N.); (ii) $10,800,000.00 (ten million eight hundred thousand pesos 00/100 M.N.); and (iii) $22,000,000.00 (twenty-two million pesos 00/100 M.N.), resulting in a total amount of $386,300,000.00 (three hundred eighty-six million three hundred thousand pesos 00/100 M.N.), through the issuance of "O" series shares, in accordance with the Extraordinary General Shareholders' Meetings held on June 28, September 30, and December 31, 2019, respectively.
Regarding this matter, in compliance with the requirement contained in the aforementioned official letter, PagaTodo presented to this Commission on October 20 and December 7, 2020, through the email address VPSupervisionGIFA@cnbv.gob.mx, the following notarial instruments: (i) public deed number 152,519; (ii) public deed number 152,520; and (iii) public deed number 152,521, all dated March 25, 2020, granted before the notary public Joaquín Cáceres Jiménez O'Farril, public notary number 132 of Mexico City, registered in the Public Commerce Registry of this same city on September 9 and October 13, 2020, respectively, under commercial folio 488838-1.
Therefore, this Commission, based on Article 8, last paragraph of the Credit Institutions Law, has resolved to modify the Fifth Base of the "Authorization for the organization and operation of a multiple banking institution to be named Banco PagaTodo, S.A., Multiple Banking Institution" contained in Official Letter No.: 100/022/2012 dated September 18, 2012, published in the Official Gazette of the Federation on April 4, 2013, which was last modified by Official Letter No.: 312-1/70156/2019 dated July 10, 2019, published in the same Gazette on July 26, 2019, to read as follows:

FIFTH.-
The social capital of 'Banco PagaTodo S.A., Multiple Banking Institution' shall be the amount of $386,300,000.00 (three hundred eighty-six million three hundred thousand pesos 00/100 M.N.) ..."
Likewise, based on Article 97 of the Credit Institutions Law and Article 19 of the National Banking and Securities Commission Law, PagaTodo is required to inform this authority of the dates of publication of this official letter in the Official Gazette of the Federation and in two widely circulated newspapers at its social address, within a period of ten business days counted from the date of the aforementioned publications, which must be processed within fifteen business days following the date of receipt of this official letter.
This official letter is issued based on Articles 16, penultimate paragraph of the National Banking and Securities Commission Law; 12, 17 fraction X, 19, fractions I, subsection (c), II, III, and last paragraph, and 40, fractions I and IV of the Internal Regulations of the National Banking and Securities Commission.
