Official Letter Modifying the Authorization Terms for the Organization and Operation of Banco Compartamos, S.A., Multiple Banking Institution

The National Banking and Securities Commission modifies the social capital of Banco Compartamos, S.A., Multiple Banking Institution to $799,092,000.00 MXN, reflecting an increase of $43,092,000.00 approved in April 2024. OFFICIAL LETTER modifying the terms of the authorization for the organization and operation of Banco Compartamos, S.A., Multiple Banking Institution.

By official letter 312-3/42307/2024 dated July 8, 2024, this Commission approved the reform of, among others, Article Seventh of the bylaws of Banco Compartamos, S.A., Multiple Banking Institution (Banco Compartamos), due to the increase in its social capital by the amount of $43,092,000.00, to go from $756,000,000.00 to $799,092,000.00, in accordance with the minutes of the extraordinary general shareholders' meeting held on April 12, 2024.

With a written submission presented to this Commission on October 9, 2024, through the email address VPSupervisionGIFB@cnbv.gob.mx and in compliance with the requirement contained in our aforementioned official letter 312-3/42307/2024, Banco Compartamos sent a certified copy of public deed 69,865 dated August 9, 2024, granted before the notary public Lic. Patricio Garza Bandala, public notary number 195 of Mexico City, and registered in the Public Commerce Registry of this same city on September 24, 2024, under commercial folio 270503, in which the aforementioned bylaw modification was formalized.

For the above reason, based on Article 8, last paragraph of the Credit Institutions Law, this Commission deems it appropriate to modify point Third of the "Resolution authorizing the organization and operation of a multiple banking institution named Banco Compartamos, S.A., Multiple Banking Institution"; contained in official letter 101-340 issued by the Ministry of Finance and Public Credit on May 17, 2006, and published in the Official Federal Gazette on May 26, 2006, last modified by official letter 312-3/94545/2023 issued by this Commission on December 4, 2023, and published in said Gazette on December 19, 2023, to read as follows:

"...

THIRD.- The social capital of Banco Compartamos, S.A., Multiple Banking Institution amounts to the sum of $799,092,000.00 (seven hundred ninety-nine million ninety-two thousand pesos 00/100 M.N.).

..."

Likewise, based on Articles 8, last paragraph, and 97 of the Credit Institutions Law and Article 19 of the National Banking and Securities Commission Law, Banco Compartamos is required to inform this authority of the date of publication of the text of this modification official letter, carried out in the Official Federal Gazette and in two widely circulated newspapers at its registered office, within a period of fifteen business days counted from the date of publication. This is understood to mean that said publications must be processed within fifteen business days following the date of receipt of this official letter.

The foregoing is communicated based on Articles 16, penultimate paragraph of the National Banking and Securities Commission Law; 14, 19, fraction X, 21, fractions I, subsection c), II and III, and last paragraph, 44, fractions I and IV, 61, second paragraph, and 64, first paragraph of the Internal Regulations of the National Banking and Securities Commission.
