Official Letter Modifying the Authorization Terms for the Organization and Operation of CBM Banco, S.A., Multiple Banking Institution, Member of the Citibanamex Financial Group

OFFICIAL LETTER modifying the terms of the authorization for the organization and operation of CBM Banco, S.A.

The terms of the authorization for the organization and operation of that entity are modified.

CBM BANCO, S.A., MULTIPLE BANKING INSTITUTION, MEMBER OF THE CITIBANAMEX FINANCIAL GROUP, (PREVIOUSLY DEUTSCHE BANK MÉXICO, S.A., MULTIPLE BANKING INSTITUTION)

By official letter 312-3/94089/2023 dated July 11, 2023, this Commission approved the comprehensive reform of the corporate bylaws of Deutsche Bank México, S.A., Multiple Banking Institution, which included, among other things, the change of its corporate name to CBM Banco, S.A., Multiple Banking Institution, member of the Citibanamex Financial Group (CBM Banco), the reconfiguration of the number and nominal value of the shares, and its incorporation into Citibanamex Financial Group, S.A. de C.V., in accordance with the Resolutions adopted unanimously by the shareholders representing all the shares representing the social capital of Deutsche Bank México, S.A., Multiple Banking Institution, outside of a general shareholders' meeting, held on July 21, 2023.

With a submission presented to this Commission on August 25, 2023, through the email VPSupervisionGIFB@cnbv.gob.mx, and in compliance with the requirement contained in official letter 312-3/94089/2023, CBM Banco sent a certified copy of public instrument 100,573 dated July 21, 2023, granted before the notary public Lic. Roberto Núñez y Bandera, public notary number one of Mexico City and registered in the Public Registry of Property and Commerce of this same City on July 21, 2023, under electronic commercial folio number 262411-1, in which the statutory modification in question was formalized.

Therefore, based on Article 8, last paragraph of the Credit Institutions Law, this Commission deems it appropriate to modify and update the terms of the "Resolution authorizing the constitution and operation of a multiple banking institution subsidiary to be named Deutsche Bank México, S.A., Multiple Banking Institution," contained in official letter 101-67 issued by the Ministry of Finance and Public Credit on January 21, 2000, published in the Official Gazette of the Federation on February 16, 2000, last modified by official letter 312-3/14612/2021 issued by this Commission on February 16, 2021 and published in said Gazette on March 26, 2021, to read as follows:

" ...

FIRST.-

The denomination of the company shall be CBM Banco, S.A., Multiple Banking Institution, member of the Citibanamex Financial Group.

SECOND.-

Its duration shall be indefinite.

THIRD.-

Its corporate purpose shall include carrying out all activities and providing the services set forth in Article 46 of the Credit Institutions Law.

FOURTH.-

Its corporate domicile shall be Mexico City.

FIFTH.-

The amount of its social capital shall be the sum of $708,782,000.00 (seven hundred eighty-two million pesos 00/100) M.N.

SIXTH.-

The authorization referred to in this official letter is, by its very nature, non-transferable.

SEVENTH.-

The Institution shall be subject to the supervision of the National Banking and Securities Commission.

EIGHTH.-

The banking and credit services and other operations carried out by the company, as well as its general functioning, shall be subject, insofar as not expressly stated in these bases, to the Political Constitution of the United Mexican States, to the Credit Institutions Law, to the general rules and provisions applicable to credit institutions issued by the National Banking and Securities Commission, to the provisions regarding its operations issued by the Bank of Mexico, and to the other norms and provisions in force and those that may be issued in the future by any competent authority, including those related to operations with funds of illicit origin and financing of terrorism, which by their nature are applicable.

Likewise, based on Articles 8, last paragraph and 97 of the Credit Institutions Law and 19 of the National Banking and Securities Commission Law, CBM Banco is required to inform this authority of the date of publication of the text of this official letter in the Official Gazette of the Federation and in two widely circulated newspapers in its corporate domicile, within a period of fifteen business days counted from the date of publication. This is understood to mean that such publications must be processed within the fifteen business days following the date of receipt of this official letter.

This official letter is issued based on Articles 16, penultimate paragraph of the National Banking and Securities Commission Law; and 14, 19, fraction X, 21, fractions I, subsection c), II and III and last paragraph, 44, fractions I and IV and 64 of the Internal Regulations of the National Banking and Securities Commission.
