The National Banking and Securities Commission modifies the authorization terms for Banco Azteca, S.A., Multiple Banking Institution to reflect a total social capital of $13,643,505,000.00 MXN, following two capital increases approved in December 2023 and February 2024. Banco Azteca is required to publish the text of this official letter in the Official Gazette and two widely circulated newspapers within fifteen business days of receiving the document.

OFFICIAL LETTER modifying the terms of the authorization for the organization and operation of Banco Azteca, S.A., Multiple Banking Institution.

With Official Letter 312-3/33116745/2023 dated December 8, 2023, this Commission approved the reform to Clause Seventh of the bylaws of Banco Azteca, S.A., Multiple Banking Institution (Banco Azteca), due to the increase in its social capital by the amount of $1,300,000,000.00, to go from the amount of $11,293,505,000.00 to $12,593,505,000.00, in terms of the minutes of the extraordinary general shareholders' meeting held on December 13, 2023.
Through Official Letter 312-3/41941/2024 dated February 14, 2024, this Commission approved the reform to Clause Seventh of the bylaws of Banco Azteca, due to the increase in its social capital by the amount of $1,050,000,000.00, to go from the amount of $12,593,505,000.00 to $13,643,505,000.00, in terms of the minutes of the extraordinary general shareholders' meeting held on February 19, 2024.
Through writings presented to this Commission on February 26 and April 23, 2024, through the email address VPSupervisionGIFA@cnbv.gob.mx and in compliance with the requirements contained in Official Letters 312-3/33116745/2023 and 312-3/41941/2024 referred to above, Banco Azteca submitted certified copies of public deeds 174,709 and 175,458 dated January 16 and February 27, 2024, respectively, granted before the notary public Eduardo Garduño García Villalobos, public notary number 135 of Mexico City and registered in the Public Registry of Property and Commerce of this same city on February 20 and April 5, 2024, under electronic commercial folio number 293658, in which the statutory modifications in question were formalized.
For the above reason, based on Article 8, last paragraph of the Credit Institutions Law, this Commission deems it appropriate to modify the terms of the "Resolution authorizing the organization and operation of a multiple banking institution to be named Banco Azteca, S.A.", contained in Official Letter 101-312 dated March 25, 2002 issued by the Ministry of Finance and Public Credit, published in the Official Gazette of the Federation on April 4, 2002, last modified by Official Letter 312-3/10038986/2021 dated November 9, 2021 and published in said Gazette on December 24, 2021, to remain in the following terms:
"...
THIRD. - The social capital of Banco Azteca, S.A., Multiple Banking Institution, amounts to the sum of $13,643,505,000.00 (thirteen billion six hundred forty-three million five hundred five thousand pesos 00/100 M.N.).
..."
Likewise, based on Articles 8, last paragraph and 97 of the Credit Institutions Law and 19 of the National Banking and Securities Commission Law, Banco Azteca is required to inform this authority of the date of publication of the text of this official letter in the Official Gazette of the Federation and in two widely circulated newspapers in its social domicile, within a period of fifteen business days counted from the date of publication. This is understood to mean that said publications must be processed within the fifteen business days following the date of receipt of this official letter.
This official letter is issued based on Articles 16, penultimate paragraph of the National Banking and Securities Commission Law; and 14, 19, fraction X, 21, fractions I, subsection c), II and III and last paragraph, 44, fractions I and IV and 64 of the Internal Regulations of the National Banking and Securities Commission.
