OFFICIAL LETTER modifying the authorization to organize, operate and function as an insurance institution granted to Dentegra Seguros Dentales, S.A.

DENTEGRA DENTAL INSURANCE, CORPORATION

SUBJECT: The authorization to organize, operate and function as an insurance institution granted to Dentegra Seguros Dentales, S.A. is modified.

The Federal Government, through the National Insurance and Bonding Commission, prior to Agreement of its Board of Governors, based on articles 2, section I, 17, 26 and 31, section VIII, of the Organic Law of the Federal Public Administration; 2, section D, section III, of the Internal Regulations of the Ministry of Finance and Public Credit, 11, 41, section II, 50, section II, 66, 366, section VIII, 367, sections I and II, 369, section II, 370, last paragraph, 372, section XLI, and 373 of the Law of Insurance and Bonding Institutions; in accordance with articles 4, sections I and II, 6 and 9 of the Internal Regulations of the National Insurance and Bonding Commission, issues the following Resolutions, in attention to the following Background and Considerations:

BACKGROUND

FIRST.- Dentegra Seguros Dentales, S.A., was authorized by the Ministry of Finance and Public Credit, to organize and operate as an insurance institution subsidiary of Dentegra Insurance Company, financial institution from abroad, of Delaware, United States of America to practice the insurance operation of accidents and illnesses, in the branches of health and medical expenses, through Official Letter 101.-340 of March 7, 2007, published in the Official Gazette of the Federation (DOF) of July 20 of that same year. Said authorization was modified, for the last time, by said Department through diverse 366-010/10 of January 25, 2010.

SECOND.- By writings of October 21, 2021, March 24, May 2 and July 21, 2022, Dentegra Seguros Dentales, S.A., requested, among others, the approval to the modification of the corporate bylaws, so that said insurance institution ceases to be a subsidiary of Dentegra Insurance Company, and operates in terms of what is provided in article 50, section I, fourth paragraph, of the Law of Insurance and Bonding Institutions, reclassifies series "E" shares, and, therefore, the authorization with which it operates be modified.

THIRD.- Through Official Letter 06-C00-411-05686/2022 of July 29, 2022, this Commission approved the integral modification of the corporate bylaws of Dentegra Seguros Dentales, S.A.

FOURTH.- By writing of August 2, 2022, Dentegra Seguros Dentales, S.A., exhibited the original of the first testimony of public deed 105,421 of August 2, 2022, granted before the faith of Lic. Roberto Garzón Jiménez, Head of Public Notary number 242, of Mexico City, in which the protocolization of the unanimous resolutions of shareholders adopted outside of Assembly of July 29, 2022, is recorded, in which the integral modification of the corporate bylaws was approved, this in order to comply with what was ordered through the cited Official Letter 06-C00-411-05686/2022 of July 29, 2022.

FIFTH.- By Official Letter 06-C00-41100-06702/2022 of August 3, 2022, this Commission considered fulfilled the resolution by which it instructed the institution the protocolization of the unanimous resolutions in comment and ordered its registration in the corresponding Public Registry of Commerce.

FOURTH.- The Board of Governors of this Commission in its Session 229 of September 15, 2022, taking into consideration the favorable opinion of its Authorizations Committee, agreed the following:

"SINGLE.-THE authorization granted to Dentegra Seguros Dentales, S.A. is MODIFIED, by elimination of references to a subsidiary insurance institution, the update of the denomination of the headquarters of the social domicile and indicating that its capital must be expressed in Investment Units and be covered in national currency as ordered by article 49, first paragraph, of the LISF." This based on articles 11, 66 and 369, section II, of the LISF; and in Provisions 2.2.1 to 2.2.7., of the CUSF".

Once the above is exposed, and

CONSIDERING

FIRST.- That article 369, section II, of the Law of Insurance and Bonding Institutions, provides that it corresponds to the Board of Governors of this Commission to modify the authorizations to organize, operate and function as an insurance institution.

SECOND.- That in accordance with what is indicated in Background Fourth of the present, the Board of Governors of this Commission, in its Session 229 of September 15, 2022, agreed to modify the authorization granted to that insurance institution.

Based on the foregoing, the following are issued:

RESOLUTIONS

FIRST.- The Preamble, as well as Articles First, Second and Third, bases II and III, of the authorization granted to Dentegra Seguros Dentales, S.A., to organize, operate and function as an insurance institution, are modified, to remain in the following terms:

"AUTHORIZATION GRANTED BY THE FEDERAL GOVERNMENT, TO DENTEGRA SEGUROS DENTALES, S.A., TO ORGANIZE, OPERATE AND FUNCTION AS A HEALTH-SPECIALIZED INSURANCE INSTITUTION, IN THE FOLLOWING TERMS:

ARTICLE FIRST.- In use of the faculty that the Federal Government, conferred by article 5 of the abrogated General Law of Insurance Institutions and Mutual Societies, to the Ministry of Finance and Public Credit, and that as of April 4, 2015, confers article 11 of the Law of Insurance and Bonding Institutions, to the National Insurance and Bonding Commission, Dentegra Seguros Dentales, S.A., is authorized to organize, operate and function as a health-specialized insurance institution.

ARTICLE SECOND.- The health-specialized insurance institution to which this resolution refers is authorized to practice the insurance operation of accidents and illnesses, in the branches of health and medical expenses.

ARTICLE THIRD.- The health-specialized insurance institution to which this resolution refers shall be subject to the provisions of the Law of Insurance and Bonding Institutions, as well as those derived from it, to the General Law of Commercial Companies, to the General Health Law, to the other laws applicable to it and, in particular, to the following bases:

II.- The institution must have the minimum paid-in capital that is determined for the year in question, for each operation and branches it has authorized, which must be expressed in Investment Units and covered in national currency, in terms of article 49, first paragraph, of the Law of Insurance and Bonding Institutions.

III.- Its social domicile will be Mexico City, "..."

SECOND.- The authorization granted to Dentegra Seguros Dentales, S.A., to organize, operate and function as an insurance institution, after the modification indicated in the previous Resolution, remains fully in the following terms:

"AUTHORIZATION GRANTED BY THE FEDERAL GOVERNMENT, TO DENTEGRA SEGUROS DENTALES, S.A., TO ORGANIZE, OPERATE AND FUNCTION AS A HEALTH-SPECIALIZED INSURANCE INSTITUTION, IN THE FOLLOWING TERMS:

ARTICLE FIRST.- In use of the faculty that the Federal Government conferred by article 5 of the abrogated General Law of Insurance Institutions and Mutual Societies, to the Ministry of Finance and Public Credit, and that as of April 4, 2015 confers article 11 of the Law of Insurance and Bonding Institutions, to the National Insurance and Bonding Commission, Dentegra Seguros Dentales, S.A., is authorized to organize, operate and function as a health-specialized insurance institution.

ARTICLE THIRD.- The health-specialized insurance institution to which this resolution refers shall be subject to the provisions of the Law of Insurance and Bonding Institutions, as well as those derived from it, to the General Law of Commercial Companies, to the General Health Law, to the other laws applicable to it and, in particular, to the following bases:

I.- Its denomination will be "Dentegra Seguros Dentales, Sociedad Anónima".

II.- The institution must have the minimum paid-in capital that is determined for the year in question, for each operation and branches it has authorized, which must be expressed in Investment Units and covered in national currency, in terms of article 49, first paragraph, of the Law of Insurance and Bonding Institutions.

III.- Its social domicile will be Mexico City.

ARTICLE FOURTH.- By its own nature, this authorization is non-transferable."

THIRD.- This official letter must be published in the Official Gazette of the Federation and in two newspapers of wide circulation of the social domicile of the institution, within the one hundred twenty days following the date of its notification to Dentegra Seguros Dentales, S.A., in terms of what is provided in article 11 of the Law of Insurance and Bonding Institutions, at the cost of the interested parties.

The present is issued based on the information and documentation exhibited by the promoters, contained in the submitted writings and is limited exclusively to the modification of the authorization granted to Dentegra Seguros Dentales, S.A., in the terms indicated above that in accordance with the applicable provisions it corresponds to this Commission to resolve, and does not prejudge any act that that society carries out and that implies the prior authorization or approval of other financial, administrative, tax or any other nature authorities, in terms of the current regulations, nor does it validate the legality or validity of the same in case said authorization or approval is not obtained.

The foregoing, based on articles 2, section I, 17, 26 and 31, section VIII, of the Organic Law of the Federal Public Administration; 2, section D, section III, of the Internal Regulations of the Ministry of Finance and Public Credit, 11, 41, section II, 50, section II, 66, 366, section VIII, 367, sections I and II, 369, section II, 370, last paragraph, 372, section XLI, and 373 of the Law of Insurance and Bonding Institutions; in accordance with articles 4, sections I and II, 6 and 9 of the Internal Regulations of the National Insurance and Bonding Commission.
