OFFICIAL LETTER modifying the terms of the authorization for the organization and operation of Intercam Banco, S

By means of official letter 312-3/2511857/2022 dated November 15, 2022, this Commission approved the reform,

among others, to the Eighth Clause of the social statutes of Intercam

Banco, S.A., Multiple Banking

Institution, Intercam Financial Group ( Intercam

Banco ), due to the increase to its social capital of the

amount of $1,999 ' 509,910.00 to $2,818 ' 988,910.00, in terms of the deed of annual and extraordinary ordinary general

shareholders meeting held on April 28, 2022 which they remitted for such effect.

With a document presented to this Commission on February 14, 2023, through the email

VPSupervisionGIFA@cnbv.gob.mx , in compliance with the requirement contained in our official letter

312-3/ 2511857/2022 previously referred, Intercam

Banco presented a certified copy of public deed 52,576

dated December 13, 2022, granted before the faith of Attorney Luis Eduardo Paredes Sánchez, public

notary number 180 of Mexico City and registered in the Public Registry of Commerce of this same

city on January 2, 2023, under electronic commercial folio number 472883-1, in which the

statutory modification in question was formalized.

Therefore, based on article 8, last paragraph of the Law of Credit Institutions, this

Commission sees fit to modify the Third Point of the " Resolution authorizing the organization and

operation of a multiple banking institution called Banco Regional, S.A., Multiple Banking

Institution, Banregio Financial Group " , currently " Intercam Banco, S.A. Multiple Banking Institution,

Intercam Financial Group " , contained in official letter 101-696 issued by the Secretariat of Finance and

Public Credit on November 17, 2006 and published in the Official Gazette of the Federation on December 15,

2006, modified for the last time by means of official letter 312-2/2511473/2022 issued by this Commission on June

22, 2022 and published in said Gazette on July 14, 2022, to remain in the following terms:

THIRD .- The social capital of Intercam

Banco, S.A., Multiple Banking Institution, Intercam

Financial Group , amounts to the quantity of $2,818 ' 988,910.00 (two thousand eight hundred eighteen

million nine hundred eighty-eight thousand nine hundred ten pesos 00/100 National Currency).

... "

Likewise, based on articles 8, last paragraph and 97 of the Law of Credit Institutions and 19

of the Law of the National Banking and Securities Commission, Intercam

Banco is required to report to this

authority the date of publication of the text of this official letter of modification, carried out in the Official Gazette

of the Federation and in two newspapers of wide circulation of its social domicile, within a period of fifteen

business days counted from the date of publication. The above, with the understanding that said publications

must be processed within fifteen business days after the date of receipt of this official letter.

This official letter is issued based on articles 16, antepenultimate paragraph of the Law of the

National Banking and Securities Commission; 14, 19, section X, 21, sections I, subsection c), II and III and last paragraph,

44, sections I and IV and 64 of the Internal Regulations of the National Banking and Securities Commission.
