By means of official letter 312-3/2511428/2022 dated June 8, 2022, this Commission approved the reform to

Article Seventh of the social statutes of Banco Compartamos, S.A., Multiple Banking Institution

(Banco Compartamos), due to the increase to its share capital in its ordinary part from the amount of

$594 ' 503,730.00 to the amount of $639 ' 740,970.00, in terms of the minutes of the extraordinary general meeting

of shareholders held on April 13, 2022, which were attached for such effect.

With a document presented on September 27, 2022, through the email

VPSupervisionGIFB@cnbv.gob.mx, and in compliance with the requirement contained in the official letter

312-3/2511428/ 2022 previously referred to,

Banco Compartamos remitted to this Commission a certified copy of the public deed

67,048 dated July 14, 2022, granted before Attorney Jesús María Garza Valdés, public notary number

26 of Mexico City and registered in the Public Registry of Property and Commerce of this same

city on September 12, 2022, under commercial folio 270503-1, in which the

statutory modification in question was formalized.

Therefore, based on Article 8, last paragraph of the Credit Institutions Law, this

Commission sees fit to modify Point Third of the "Resolution authorizing the organization and

operation of a multiple banking institution called Banco Compartamos, S.A., Multiple Banking

Institution", contained in official letter 101-340 issued by the Secretariat of Finance and Public Credit on May 17

of 2006 and published in the Official Gazette of the Federation on May 26, 2006, modified for the last time

by means of official letter 312-3/2511089/2022 issued by this Commission on February 1, 2022 and published in said

Gazette on February 23, 2022, to remain in the following terms:

" ...

THIRD .- The share capital of Banco Compartamos, S.A., Multiple Banking Institution, amounts to

the amount of $639 ' 740,970.00 (six hundred thirty-nine million seven hundred forty thousand

nine hundred seventy pesos 00/100 M.N.).

... "

Likewise, based on Articles 8, last paragraph and 97 of the Credit Institutions Law and 19

of the National Banking and Securities Commission Law, Banco Compartamos is required to report to this

authority the date of publication of the text of this present modification official letter, made in the Official Gazette

of the Federation and in two newspapers of wide circulation of its social domicile, within a period of fifteen

business days counted from the date of publication. The above, on the understanding that said publications

must be processed within the fifteen business days following the date of receipt of this official letter.

This official letter is issued based on Articles 16, antepenultimate paragraph of the Law of the

National Banking and Securities Commission; 14, 19, section X, 21, sections I, subsection c), II and III and last paragraph,

44, sections I and IV and 64 of the Internal Regulations of the National Banking and Securities Commission.
