By means of letter 312-3/94031/2023 dated July 21, 2023, this Commission approved the amendment to Article Six of the corporate bylaws of Bank of America México, S.A., Multiple Banking Institution (Bank of America), due to the increase in its social capital in the amount of $1,776 ' 043,500.00, to go from the amount of $4,453 ' 246,056.00 to $6,229 ' 289,556.00, in terms of the minutes of the extraordinary general shareholders' assembly held on May 25, 2023.

With the document presented on October 10, 2023, through the email

VPSupervisionGIFB@cnbv.gob.mx , and in compliance with the requirement contained in the letter

312-3/94031/ 2023 previously referred to,

Bank of America sent to this Commission a certified copy of the public deed

255,654 dated August 2, 2023, granted before the faith of licenciado Cecilio González Márquez, public notary

number 151 of Mexico City, and registered in the Public Registry of Property and Commerce

of this same city on August 8, 2023, under commercial folio 195969-1, in which the

statutory modification in question was formalized.

Therefore, based on article 8, last paragraph of the Credit Institutions Law, this

Commission deems it appropriate to modify Point Second of the " Resolution authorizing the constitution and

operation of a subsidiary multiple banking institution that will be called Bank of America México, S.A. "

currently called Bank of America México, S.A., Multiple Banking Institution , contained in letter

101-017 issued by the Secretariat of Finance and Public Credit on January 30, 1995 and published in the

Official Gazette of the Federation on February 24, 1995, modified for the last time by means of letter

312-2/ 70102/2019 issued by this Commission on May 28, 2019 and published in said Gazette on July 1st of

2019, to remain in the following terms:

"...

SECOND .- The social capital of Bank of America México, S.A., Multiple Banking Institution, will be

$6,229 ' 289,556.00 (six thousand two hundred twenty-nine million two hundred eighty-nine thousand five hundred

fifty-six pesos 00/100) national currency.

..."

Likewise, based on articles 8, last paragraph and 97 of the Credit Institutions Law and 19

of the Law of the National Banking and Securities Commission, Bank of America is required to report to this

authority the date of the publication of the text of this modification letter, carried out in the Official Gazette

of the Federation and in two newspapers of wide circulation of its corporate domicile, within a period of fifteen

business days counted from the date of publication. The foregoing, with the understanding that said publications

must be processed within the fifteen business days following the date of receipt of this letter.

This letter is issued based on articles 16, third-to-last paragraph of the Law of the

National Banking and Securities Commission; and 14, 19, section X, 21, sections I, subsection c), II and III and last

paragraph, 44, sections I and IV and 64 of the Internal Regulations of the National Banking and Securities Commission.
