REPUBLIC OF MOLDOVA NATIONAL FINANCIAL MARKET COMMISSION 77 Stefan cel Mare si Sfant Blvd., Chisinau, MD 2012, tel: (373 22) 859 401, www.cnpf.md, e-mail: office@cnpf.md DECISION 12 May 2026 No. 23/4 On Approval of the Prospectus for the Voluntary Takeover Offer of Shares Issued by FIRMA DE PRODUCȚIE ȘI COMERȚ "ABC" SA Following the examination of the application submitted by the offeror Valeriu Moscalu (registered with the National Financial Market Commission (CNPF) under No. 3255 on 30.04.2026) regarding the approval of the prospectus for the voluntary takeover offer of shares issued by FIRMA DE PRODUCȚIE ȘI COMERȚ "ABC" SA, pursuant to Article 8 letter k), Article 18 paragraph (3), Article 20 paragraphs (1), (6) and (7), and Article 22 paragraph (3) of Law No. 192/1998 on the National Financial Market Commission, Article 20 paragraph (1) letter a) and Article 24 paragraph (4) of Law No. 171/2012 on the capital market, the Regulation on Public Purchase Offers (CNPF Decision No. 33/1/2015), points 16, 19, and 21 of the Regulation on the Organization and Functioning of the National Financial Market Commission (CNPF Decision No. 57/11/2022), the National Financial Market Commission DECIDES:

1. The prospectus for the voluntary takeover offer, initiated by the offeror Valeriu Moscalu (IDNP 0960204017694), the subject of which is the acquisition of 10,636 registered ordinary shares issued by FIRMA DE PRODUCȚIE ȘI COMERȚ "ABC" SA (IDNO 1002600025877, MD-2012, Chisinau city, Sfatul Țării Street 15), is approved, at a price of 165.95 lei per share, with a duration of 15 days from the initiation date.
2. This Decision may be contested by filing a preliminary request addressed to the CNPF (MD-2012, Chisinau city, Stefan cel Mare si Sfant Blvd., No. 77) within 30 days from the date of notification.
3. This Decision enters into force on the date of adoption, is communicated to the addressee in accordance with the legislation, is published in the Official Monitor of the Republic of Moldova, and on the official website of the CNPF (www.cnpf.md). Dumitru BUDIANSCHI, PRESIDENT
