On Registrations in the Register of Securities Issuers for 'PRO INVEST CAPITAL' Joint Stock Company

Following the examination of the application by 'PRO INVEST CAPITAL' Joint Stock Company (the "Company") No. 71 dated 04 April 2024 regarding the registration in the Register of Securities Issuers of the cancellation of shares, restructuring of the prior share issue, and registration of newly issued shares by the Company, as well as the accompanying documents submitted in full on 10 April 2024,
pursuant to Article 40(16) and Article 40¹ of Law No. 171/2012 on the Capital Market, Article 8(m) and (o), Article 20(1) and Article 22(3) of Law No. 192/1998 on the National Financial Market Commission, Sections 16, 19 and 21 of the Regulation on the Organization and Operation of the National Financial Market Commission (CNPF Decision No. 13/10/2018),
and the Decision of the Executive Body of 'PRO INVEST CAPITAL' Joint Stock Company dated 04 April 2024 regarding the cancellation of certain shares issued by 'PRO INVEST CAPITAL' S.A. and the issuance of new shares,

The National Financial Market Commission DECIDES:

  1. The following are registered in the Register of Securities Issuers:

    1. cancellation of 955,733 ordinary registered shares with a nominal value of 1 leu per share (ISIN code MD14PICA1006) of 'PRO INVEST CAPITAL' Joint Stock Company (IDNO 1002600036819, Chisinau city, Zelinski Street 7), with restructuring of the prior issue;
    2. additional issuance of shares by 'PRO INVEST CAPITAL' Joint Stock Company S.A. in the amount of 955,733 lei, totaling 955,733 ordinary registered shares with a nominal value of 1 leu per share, placed in the second issue, and bearing identification number MD14PICA1006.

  2. Control over the execution of this Decision is assigned to the Capital Market Department.

  1. This Decision may be appealed by filing a prior application with the CNPF (MD-2012, Chisinau city, Stefan cel Mare si Sfant Boulevard No. 77), within 30 days from the date of notification.

  2. This Decision enters into force on the adoption date, is communicated to the recipient in accordance with legislation, and is published in the Official Monitor of the Republic of Moldova and on the official website of the CNPF (www.cnppf.md).
