On the Deletion from the Register of Issuers of Securities of Securities Previously Issued by Certain Joint Stock Companies
The National Financial Market Commission (CNPF) of Moldova issued Decision No. 43/5 on September 23, 2024, to delete securities previously issued by the joint stock companies NOVAHABITAT and URBATER from the Register of Issuers of Securities. This action results from the administrative reorganization of these entities through transformation into limited liability companies, with the CNPF consolidating the related requests for efficiency. The decision formally removes 2,000 ordinary registered shares for each company from the registry and specifies the legal basis and appeal procedures for the ruling.

On the deletion from the Register of Issuers of Securities of Securities Previously Issued by Certain Joint Stock Companies
Within the framework of the National Financial Market Commission (CNPF), the application of the Limited Liability Company "NOVAHABITAT" (10.09.2024) and the application of the Limited Liability Company "URBATER" (10.09.2024) regarding the deletion of securities from the Register of Issuers of Securities were registered.
Based on the legal-material report of the applicants, it is established that the administrative procedures involved are based on the same factual situation, the same legal basis, the same purpose, and are connected, which requires, pursuant to Article 44 paragraph (4) and Article 80 paragraph (1) of the Administrative Code, the consolidation and examination in a single administrative procedure.
Following the examination of the pre-notified applications regarding the deletion of securities from the Register of Issuers of Securities, under the Law No. 1134/1997 on Joint Stock Companies, Article 8 letter m), Article 20 paragraph (1) and Article 22 paragraph (3) of Law No. 192/1998 on the National Financial Market Commission, the Instruction on the stages, deadlines, method and procedures for the registration of securities (CNPF Decision No. 13/10/2018), points 16 – 19 and point 21 of the Regulation on the organization and functioning of the National Financial Market Commission (CNPF Decision No. 57/11/2022),
The National Financial Market Commission DECIDES:

The administrative procedures initiated at the request of the Limited Liability Company "NOVAHABITAT" and at the request of the Limited Liability Company "URBATER" are consolidated.

The securities previously issued by the following entities are deleted from the Register of Issuers of Securities as a result of reorganization through transformation into a limited liability company:
- The Joint Stock Company "NOVAHABITAT" (IDNO 1007600044512), in the amount of 2,000 ordinary registered shares with the identification number MD14NOHA1007;
- The Joint Stock Company "URBATER" (IDNO 1007600046413), in the amount of 2,000 ordinary registered shares with the identification number MD14URBA1009.

This Decision may be appealed by submitting a preliminary request to the CNPF (MD-2012, Chișinău, bd. Ștefan cel Mare și Sfânt, no. 77) within 30 days from the date of notification.

This Decision enters into force on the date of adoption, is communicated to the recipients in accordance with the legislation, is published in the Official Monitor of the Republic of Moldova and on the official website of the CNPF (www.cnpf.md).
