On the deletion from the Register of Securities Issuers of securities previously issued by certain joint-stock companies

The National Commission of the Financial Market (CNPF) issued Decision No. 15/5 on 18 March 2024 to connect and jointly examine the liquidation-related applications of DAAC-MELISA JSC and BROKWEST Brokerage Firm SA for the deletion of their previously issued ordinary shares from the Register of Securities Issuers. The decision mandates the formal removal of 208,057 shares issued by DAAC-MELISA (IDNO 1006607003890) and 300 shares issued by BROKWEST (IDNO 1003600036300) following their liquidation procedures. This ruling takes effect immediately upon adoption, is published in the Official Monitor and on the CNPF website, and allows for a 30-day appeal period to the Commission.

On the deletion from the Register of Securities Issuers of securities previously issued by certain joint-stock companies

Within the National Commission of the Financial Market (CNPF), the liquidator's application of the Joint-Stock Company "DAAC-MELISA" (21.02.2024) and the liquidator's application of the BROKERAGE FIRM "BROKWEST" JSC (01.03.2024) regarding the deletion of securities from the Register of Securities Issuers have been registered. Based on the material-legal reports of the applicants, it is established that the administrative procedures involved are based on the same factual situation, the same legal basis, the same purpose, and are interconnected, which requires, under Article 44(4) and Article 80(1) of the Administrative Code, their connection and examination in a single administrative procedure.

Following the examination of the pre-notified applications regarding the deletion of securities from the Register of Securities Issuers, pursuant to Law No. 1134/1997 on joint-stock companies, Article 8(m), Article 20(1) and Article 22(3) of Law No. 192/1998 on the National Commission of the Financial Market, the Instruction on the stages, deadlines, method and procedures for the registration of securities (CNPF Decision No. 13/10/2018), paragraphs 16 – 19 and paragraph 21 of the Regulation on the organization and functioning of the National Commission of the Financial Market (CNPF Decision No. 57/11/2022),

The National Commission of the Financial Market DECIDES:

  1. The administrative procedures initiated upon the application of the Joint-Stock Company "DAAC-MELISA" and the application of the BROKERAGE FIRM "BROKWEST" JSC are connected.

  2. The securities previously issued by the following entities are deleted from the Register of Securities Issuers as a result of liquidation:

    1. The Joint-Stock Company "DAAC-MELISA" (IDNO 1006607003890), amounting to 208,057 ordinary registered shares, with identification number MD14DACS1008;

    2. The BROKERAGE FIRM "BROKWEST" JSC (IDNO 1003600036300), amounting to 300 ordinary registered shares, with identification number MD14ROWE1008.

  3. This Decision may be appealed by filing a preliminary application with the CNPF (MD-2012, Chisinau, Stefan cel Mare si Sfant Blvd., No. 77) within 30 days from the date of notification.

  4. This Decision enters into force on the date of adoption, is communicated to recipients in accordance with legislation, and is published in the Official Monitor of the Republic of Moldova and on the official website of the CNPF (www.cnpf.md).
