On the deletion from the Register of Securities Issuers of securities previously issued by certain joint-stock companies
The National Commission for Financial Markets (CNFM) issued Decision No. 8/7 on 13 February 2024 to connect and jointly process the applications of three limited liability companies—TOTAL LEASING&FINANCE, OPTIMEDFARM, and WORLD SAVING ENERGY—for the deletion of their previously issued ordinary shares from the Register of Securities Issuers. The decision formally removes 389,938 shares from TOTAL LEASING&FINANCE (MD14TOLI1005), 120,973 shares from OPTIMEDFARM (MD14OPTI1001), and 20,000 shares from WORLD SAVING ENERGY (MD14WASI1009) following their transformation into limited liability companies. This ruling takes effect immediately upon adoption, is published in the Official Monitor and on the CNFM website, and may be appealed within 30 days through a prior application to the Commission.

On the deletion from the Register of Securities Issuers of securities previously issued by certain joint-stock companies
Within the National Commission for Financial Markets (CNFM), the application of TOTAL LEASING&FINANCE Limited Liability Company was registered (22.01.2024), the application of OPTIMEDFARM Limited Liability Company (26.01.2024) and the application of WORLD SAVING ENERGY Limited Liability Company (01.02.2024) regarding the deletion of securities from the Register of Securities Issuers.
Based on the substantive-legal reports of the applicants, it is established that the administrative procedures involved are based on the same factual situation, the same legal basis, the same purpose and are connected, which requires, pursuant to Article 44(4) and Article 80(1) of the Administrative Code, the connection and examination in a single administrative procedure.
Following the examination of the pre-notified applications regarding the deletion of securities from the Register of Securities Issuers, under Law No. 1134/1997 on joint-stock companies, Article 8 letter m), Article 20(1) and Article 22(3) of Law No. 192/1998 on the National Commission for Financial Markets, Section 16, Section 19 and Section 21 of the Regulation on the organization and functioning of the National Commission for Financial Markets (CNFM Decision No. 13/10/2018),
The National Commission for Financial Markets DECIDES:

The administrative procedures initiated upon the application of TOTAL LEASING&FINANCE Limited Liability Company, the application of OPTIMEDFARM Limited Liability Company and the application of WORLD SAVING ENERGY Limited Liability Company are connected.

The securities previously issued by the following companies are deleted from the Register of Securities Issuers as a result of reorganization through transformation into limited liability companies:

TOTAL LEASING&FINANCE Joint-Stock Company (IDNO 1006600037755), amounting to 389,938 ordinary nominative shares, with identification number MD14TOLI1005;

OPTIMEDFARM Joint-Stock Company (IDNO 1003611009144), amounting to 120,973 ordinary nominative shares, with identification number MD14OPTI1001;

WORLD SAVING ENERGY Joint-Stock Company (IDNO 1010600002239), amounting to 20,000 ordinary nominative shares, with identification number MD14WASI1009.

This Decision may be appealed by filing a prior application with the CNFM (MD-2012, Chișinău, Ștefan cel Mare și Sfânt Blvd., No. 77), within 30 days from the date of notification.

This Decision enters into force on the date of adoption, is communicated to recipients in accordance with legislation, is published in the Official Monitor of the Republic of Moldova and on the official website of the CNFM (www.cnpf.md).
