On the Deletion from the Securities Issuers Register of Securities Previously Issued by BANCA COMERCIALA ROMANA CHISINAU SA
The National Financial Market Commission of Moldova issued Decision No. 17/2 on April 1, 2025, to delete securities previously issued by BANCA COMERCIALA ROMANA CHISINAU SA from the official register. This administrative action follows the absorption reorganization of BANCA COMERCIALA ROMANA CHISINAU SA by VICTORIABANK SA and concerns 72,813 ordinary named shares. The decision entered into force upon adoption and was published in the Official Monitor and on the Commission's website.

On the Deletion from the Securities Issuers Register of Securities Previously Issued by „BANCA COMERCIALĂ ROMÂNĂ CHIȘINĂU” SA
Following the examination of the application submitted by Commercial Bank „VICTORIABANK” SA (registered with the National Financial Market Commission (CNPF) on March 17, 2025) regarding the deletion from the Securities Issuers Register of securities previously issued by „BANCA COMERCIALĂ ROMÂNĂ CHIȘINĂU” SA as a result of its absorption by Commercial Bank „VICTORIABANK” SA, as well as the documents submitted in full volume on March 18, 2025,
based on Law No. 1134/1997 on Joint Stock Companies, Article 8 letter m), Article 20 paragraph (1) and Article 22 paragraph (3) of Law No. 192/1998 on the National Financial Market Commission, the Instruction on the stages, deadlines, method and procedures for the registration of securities (CNPF Decision No. 13/10/2018), points 16, 19 and 21 of the Regulation on the Organization and Functioning of the National Financial Market Commission (CNPF Decision No. 57/11/2022),
The National Financial Market Commission DECIDES:

The securities previously issued by „BANCA COMERCIALĂ ROMÂNĂ CHIȘINĂU” SA (Unique Registration Code 1003600021533), consisting of 72,813 ordinary named shares with identification number MD14BROM1003, are deleted from the Securities Issuers Register as a result of the absorption reorganization of „BANCA COMERCIALĂ ROMÂNĂ CHIȘINĂU” SA by Commercial Bank „VICTORIABANK” SA.

This Decision may be appealed by submitting a preliminary request to the CNPF (MD-2012, Chișinău city, Ștefan cel Mare și Sfânt Blvd., No. 77) within 30 days from the date of notification.

This Decision enters into force on the date of adoption, is communicated to the addressee in accordance with the legislation, is published in the Official Monitor of the Republic of Moldova and on the official website of the CNPF (www.cnpf.md).
