On the Deletion from the Securities Issuers Register of Securities Previously Issued by Certain Joint-Stock Companies
The National Financial Commission of Moldova issued Decision No. 52/10 on November 12, 2024, to consolidate and process administrative requests for the deregistration of securities from two joint-stock companies. The Commission ordered the deletion of ordinary shares from the Securities Issuers Register for JSC "KOMPASS MOLDOVA" and JSC "BAZA DE TRANSPORT AUTO NR. 31" following their reorganization into limited liability companies. This decision is effective immediately upon adoption and can be appealed to the Commission within 30 days of notification.

On the Deletion from the Securities Issuers Register of Securities Previously Issued by Certain Joint-Stock Companies
Within the framework of the National Financial Commission (NFC), the application of the Limited Liability Company "KOMPASS MOLDOVA" was registered (02.10.2024), along with the associated documents, presented in full volume on 01.11.2024, and, respectively, the application of the Limited Liability Company "BAZA DE TRANSPORT AUTO NR. 31" (29.10.2024) regarding the deletion of securities from the Securities Issuers Register.
Based on the legal-material reports of the applicants, it is established that the administrative procedures involved are based on the same factual situation, the same legal basis, the same purpose, and are interconnected, which necessitates, on the basis of Article 44 paragraph (4) and Article 80 paragraph (1) of the Administrative Code, the consolidation and examination in a single administrative procedure.
Following the examination of the pre-registered applications regarding the deletion of securities from the Securities Issuers Register, on the basis of Law No. 1134/1997 on Joint-Stock Companies, Article 8 letter m), Article 20 paragraph (1) and Article 22 paragraph (3) of Law No. 192/1998 on the National Financial Commission, the Instruction on the stages, deadlines, method and procedures for the registration of securities (NFC Decision No. 13/10/2018), points 16 – 19 and point 21 of the Regulation on the Organization and Functioning of the National Financial Commission (NFC Decision No. 57/11/2022),
The National Financial Commission DECIDES:
- The administrative procedures initiated at the request of the Limited Liability Company "KOMPASS MOLDOVA" and at the request of the Limited Liability Company "BAZA DE TRANSPORT AUTO NR. 31" are consolidated.
- The securities previously issued by the following entities are deleted from the Securities Issuers Register as a result of reorganization through transformation into a limited liability company:
- Joint-Stock Company "KOMPASS MOLDOVA" (IDNO 1002600045514), in the amount of 10,000 ordinary registered shares with identification number MD14KOMP1004;
- Joint-Stock Company "BAZA DE TRANSPORT AUTO NR. 31" (IDNO 1003600020226), in the amount of 455,839 ordinary registered shares with identification number MD14BTAC1009.
- This Decision may be contested by filing a preliminary application to the NFC (MD-2012, Chisinau, Stefan cel Mare si Sfant Blvd., No. 77) within 30 days from the date of communication.
- This Decision enters into force on the date of adoption, is communicated to the recipients in accordance with the legislation, is published in the Official Monitor of the Republic of Moldova and on the official website of the NFC (www.cnpp.md).
