On the Deletion from the Securities Issuers Register of Securities Previously Issued by Certain Joint Stock Companies

The National Financial Market Commission of Moldova issued Decision No. 56/4 on December 3, 2024, to administratively consolidate and process requests from ARCON and DACIA-PI LLCs. The Commission ordered the deletion from the Securities Issuers Register of all ordinary shares previously issued by the joint stock companies ARCON and DACIA-PI due to their transformation into limited liability companies. This decision, effective immediately, mandates publication in the Official Monitor and the CNPF website, while allowing for a 30-day appeal period.

On the deletion from the Securities Issuers Register of securities previously issued by certain joint stock companies

Within the framework of the National Financial Market Commission (CNPF), the application of the Limited Liability Company "ARCON" (14.11.2024) and the application of the Limited Liability Company "DACIA-PI" (19.11.2024) regarding the deletion of securities from the Securities Issuers Register were registered.

Based on the material-legal report of the applicants, it is established that the administrative procedures involved are based on the same factual situation, the same legal basis, the same purpose, and are interconnected, which requires, pursuant to Article 44 paragraph (4) and Article 80 paragraph (1) of the Administrative Code, the connection and examination in a single administrative procedure.

Following the examination of the pre-registered applications regarding the deletion of securities from the Securities Issuers Register, under the Law No. 1134/1997 on joint stock companies, Article 8 letter m), Article 20 paragraph (1) and Article 22 paragraph (3) of Law No. 192/1998 on the National Financial Market Commission, the Instruction on the stages, deadlines, method and procedures for the registration of securities (CNPF Decision No. 13/10/2018), points 16 – 19 and point 21 of the Regulation on the organization and functioning of the National Financial Market Commission (CNPF Decision No. 57/11/2022),

The National Financial Market Commission DECIDES:

  1. The administrative procedures initiated at the request of the Limited Liability Company "ARCON" and at the request of the Limited Liability Company "DACIA-PI" are connected.

  2. The securities previously issued by the following entities are deleted from the Securities Issuers Register as a result of reorganization through transformation into a limited liability company:

    1. The Joint Stock Company "ARCON" (IDNO 1004600036112), consisting of 20,000 ordinary registered shares with the identification number MD14ARCO1006;

    2. The Joint Stock Company "DACIA-PI" (IDNO 1004600047095), consisting of 31,318 ordinary registered shares with the identification number MD14DAPI1005.

  1. This Decision may be contested by submitting a preliminary application to the CNPF (MD-2012, Chisinau city, Stefan cel Mare si Sfant Blvd., no. 77) within 30 days from the date of notification.

  2. This Decision enters into force on the date of adoption, is communicated to the recipients in accordance with the legislation, is published in the Official Monitor of the Republic of Moldova and on the official website of the CNPF (www.cnpf.md).
