On the Registration in the Register of Securities Issuers for SPIRIT ARDENT Joint Stock Company
The National Commission for Financial Market of Moldova issued Decision No. 15/6 on 18 March 2024 to formally register the restructuring and capital increase of SPIRIT ARDENT Joint Stock Company in the Register of Securities Issuers. The decision mandates increasing the nominal value of each ordinary registered share from 1 to 20 lei and boosting the total social capital by 684,000 lei to 720,000 lei, resulting in 36,000 shares identified as MD14SPIR1009. The ruling takes effect immediately upon adoption, is published in the Official Monitor and on the Commission’s website, and allows for a 30-day appeal window to the CNPF.

Following the examination of the application submitted by SPIRIT ARDENT Joint Stock Company (09.02.2024) regarding the registration in the Register of Securities Issuers of the restructuring of prior securities issuances and the increase in social capital, as well as the accompanying documents submitted in full volume on 01.03.2024,
under the provisions of Law no. 1134/1997 on joint stock companies, art. 8 lit. m) and o), art. 20 para. (1) and art. 22 para. (3) of Law no. 192/1998 on the National Commission for Financial Market, Instruction on the stages, deadlines, method and procedures for securities registration (CNPF Decision no. 13/10/2018), pts. 16, 19 and 21 of the Regulation on the organization and functioning of the National Commission for Financial Market (CNPF Decision no. 57/11/2022),
The National Commission for Financial Market DECIDES:

The restructuring of prior securities issuances placed by SPIRIT ARDENT Joint Stock Company (IDNO 1003600057136, MD-2001, Chișinău city, Ștefan cel Mare și Sfânt Blvd. 6) is registered in the Register of Securities Issuers, by increasing the nominal value of one ordinary registered share from 1 leu to 20 lei, and increasing the social capital by 684,000 lei from equity. The company's social capital after restructuring and increase will amount to 720,000 lei, divided into 36,000 ordinary registered shares, with a nominal value of 20 lei per share and identification number MD14SPIR1009.

This Decision may be appealed by submitting a prior application to the CNPF (MD-2012, Chișinău city, Ștefan cel Mare și Sfânt Blvd. no. 77) within 30 days from the date of notification.

This Decision enters into force on the adoption date, is communicated to the recipient in accordance with legislation, and is published in the Official Monitor of the Republic of Moldova and on the official website of the CNPF (www.cnpp.md).
