On the registration in the Register of Securities Issuers of securities according to the report on the results of the issue of Class VI bonds, issued by the Commercial Bank "MOLDOVA-AGROINDBANK" SA

Following the examination of the application of the Commercial Bank "MOLDOVA-AGROINDBANK" SA (registered with the National Financial Market Commission (CNPF) under No. 6580 on 04.09.2025) regarding the registration in the Register of Securities Issuers of securities according to the report on the results of the bond issue, as well as the accompanying documents, presented in full volume on 09.09.2025 (registered with CNPF under No. 6671),

on the basis of Law No. 171/2012 on the capital market, Art. 8 lit. m) and lit. o), Art. 20 para. (1) and Art. 22 para. (3) of Law No. 192/1998 on the National Financial Market Commission, the Instruction on the stages, deadlines, method and procedures for the registration of securities (CNPF Decision No. 13/10/2018) and pts. 16, 19 and 21 of the Regulation on the organization and functioning of the National Financial Market Commission (CNPF Decision No. 57/11/2022),

The National Financial Market Commission DECIDES:

1. The securities according to the report on the results of the issue of Class VI bonds, within the framework of the Offering Program, of the Commercial Bank "MOLDOVA-AGROINDBANK" SA (IDNO 1002600003778, MD-2012, Chisinau city, 31 August 1989 str., No. 127), are registered in the Register of Securities Issuers, in the amount of 144,060,000 MDL, in the number of 7,203 Class VI bearer bonds, with a nominal value of 20,000 MDL per bond, with a circulation term of 3 years, with a floating interest rate, connected to the weighted average interest rate on new deposits attracted in total across the banking sector (in national currency), with a term from 6 to 12 months, published on the official website of the National Bank of Moldova (www.bnm.md) on the date of the first day of the public offering period (14.08.2025) and which is modified annually on the same date (month and day) + a fixed margin of 1.0%, payable monthly, with the ISIN code MD1004000185.
2. The Commercial Bank "MOLDOVA-AGROINDBANK" SA, on each date of annual modification of the interest rate, in accordance with the provisions of the prospectus, will make public, in the same manner established for the publication of the prospectus, a notice, specifying the concrete modified annual interest rate according to point 1.
3. This Decision may be contested by filing a preliminary application to the CNPF (MD-2012, Chisinau city, Stefan cel Mare si Sfant blvd., No. 77), within 30 days from the date of communication.
4. This Decision enters into force on the date of adoption, is communicated to the recipient in accordance with the legislation, is published in the Official Monitor of the Republic of Moldova and on the official website of the CNPF (www.cnpf.md).
