On the Registration in the Register of Securities Issuers Pertaining to „AUGUST” Joint Stock Company
The National Commission for Financial Market issued Decision Number 32/6 on July 2, 2024, to register the restructuring and capital increase of „AUGUST” Joint Stock Company in the Register of Securities Issuers. The ruling formalizes raising the nominal value of ordinary named shares from 10 lei to 22 lei and adding 338,340 lei from own capital, bringing the total social capital to 620,290 lei across 28,195 shares. Following the examination of the application submitted by „AUGUST” Joint Stock Company (29.05.2024) regarding the registration in the Register of Securities Issuers of the restructuring of its prior securities issuance and the increase of social capital, as well as the related documents presented in full volume on 20.06.2024,
under the provisions of Law no. 1134/1997 on joint stock companies, art. 8 lit. m) and o), art. 20 para. (1) and art. 22 para. (3) of Law no. 192/1998 on the National Commission for Financial Market, Instruction no. 13/10/2018 on the stages, deadlines, manner and procedures for securities registration (CNPF Decision no. 13/10/2018), pts. 16, 19 and 21 of the Regulation on the organization and functioning of the National Commission for Financial Market (CNPF Decision no. 57/11/2022),
The National Commission for Financial Market DECIDES:

The restructuring of the prior securities issuance placed by „AUGUST” Joint Stock Company (IDNO 1002602004931, MD-3100, Bălți city, Bulgară str. 136) is registered in the Register of Securities Issuers, by increasing the nominal value of one ordinary named share from 10 lei to 22 lei, and increasing the social capital by 338,340 lei from own capital. The company's social capital after restructuring and increase will amount to 620,290 lei, divided into 28,195 ordinary named shares, with a nominal value of one share at 22 lei and identification number MD14GUST1002.

This Decision may be appealed by submitting a prior application to the CNPF (MD-2012, Chișinău city, Ștefan cel Mare și Sfânt blvd. no. 77) within 30 days from the date of notification.

This Decision enters into force on the adoption date, is communicated to the recipient according to legislation, and is published in the Official Monitor of the Republic of Moldova and on the official website of CNPF (www.cnpf.md).
