On the registration in the Securities Issuers Register, pertaining to BASARABIA-NORD Joint Stock Company

Following the examination of the application of BASARABIA-NORD Joint Stock Company (registered with the National Financial Market Commission (CNPF) under No. 7888 on 30.11.2022) regarding registration in the Securities Issuers Register in accordance with the report on the results of the additional issuance of shares, as well as the accompanying documents, submitted in full volume on 08.09.2025 (registered with CNPF under No. 6642),

on the basis of Law No. 1134/1997 on Joint Stock Companies, Art. 8 lit. m) and lit. o), Art. 20 para. (1) and Art. 22 para. (3) of Law No. 192/1998 on the National Financial Market Commission, the Instruction on the stages, deadlines, method and procedures for the registration of securities (CNPF Decision No. 13/10/2018), pts. 16, 19 and 21 of the Regulation on the organization and functioning of the National Financial Market Commission (CNPF Decision No. 57/11/2022),

The National Financial Market Commission DECIDES:

1. The securities are registered in the Securities Issuers Register in accordance with the report on the results of the additional issuance of shares of BASARABIA-NORD JSC (IDNO 1002602004366, MD-3100, Bălți city, Victoriei Blvd. 90A), in the amount of 124,530,760 lei, in the number of 6,226,538 ordinary nominative shares, from the account of creditor debts. The social capital of the company, after the increase, will amount to 141,005,460 lei, divided into 7,050,273 ordinary nominative shares of class I, with a nominal value of one share of 20 lei and with the identification number MD14BARS1003.
2. This Decision may be contested by submitting a prior application to the CNPF (MD-2012, Chișinău city, Ștefan cel Mare și Sfânt Blvd. No. 77), within 30 days from the date of communication.
3. This Decision enters into force on the date of adoption, is communicated to the recipient in accordance with the legislation, is published in the Official Monitor of the Republic of Moldova and on the official website of the CNPF (www.cnpf.md).
