DECISION

On the registration in the Securities Issuers Register of securities according to the report on the results of the issuance of Class VI bonds issued by Commercial Bank "MOLDOVA-AGROINDBANK" SA

Following the examination of the application of Commercial Bank "MOLDOVA-AGROINDBANK" SA (20.10.2024), as well as the submitted documents related to the registration in the Securities Issuers Register of securities according to the report on the results of the bond issuance,

on the basis of Law No. 171/2012 on the capital market, Art. 8 lit. m) and lit. o), Art. 20 para. (1) and Art. 22 para. (3) of Law No. 192/1998 on the National Commission of the Financial Market; the Instruction on the stages, deadlines, method and procedures for the registration of securities (Decision of the CNPF No. 13/10/2018) and points 16, 19 and 21 of the Regulation on the organization and functioning of the National Commission of the Financial Market (Decision of the CNPF No. 57/11/2022),

The National Commission of the Financial Market DECIDES:

1. The securities according to the report on the results of the ninth issuance of bonds, within the framework of the Offering Program, of Commercial Bank "MOLDOVA-AGROINDBANK" SA (IDNO 1002600003778, MD-2012, Chisinau city, 31 August 1989 str., no. 127) are registered in the Securities Issuers Register in the amount of 47,520,000 lei, in the number of 2,376 registered bonds of Class VI, with a nominal value of 20,000 lei per bond, with a circulation term of 3 years, with a floating interest rate, linked to the weighted average interest rate on new deposits attracted in total across the banking sector (in national currency), with a term from 6 to 12 months, published on the official website of the National Bank of Moldova (www.bnm.md) on the date of the first day of the public offering period (31.10.2024), and which is modified annually on the same date (month and day) + a fixed margin of 1%, being paid monthly, with the ISIN code MD1004000136.

2. Commercial Bank "MOLDOVA-AGROINDBANK" SA, on each date of annual modification of the interest rate, in accordance with the provisions of the prospectus, shall make public, in the same manner established for the publication of the prospectus, an advisory notice, specifying the concrete modified annual interest rate in accordance with point 1.

3. This Decision may be contested by submitting a preliminary application to the CNPF (MD-2012, Chisinau city, Stefan cel Mare si Sfant blvd., no. 77), within 30 days from the date of communication.

4. This Decision enters into force on the date of adoption, is communicated to the recipient in accordance with the legislation, is published in the Official Monitor of the Republic of Moldova and on the official website of the CNPF (www.cnpf.md).
