SECURITIES COMMISSION OF THE BAHAMAS PUBLIC NOTICE No. 4 of 2025 19 May 2025 RE: UNREGULATED ENTITIES/WEBSITES WITH FAKE CERTIFICATES This NOTICE is issued by the Securities Commission of The Bahamas (the Commission) pursuant to its authority under the Securities Industry Act, 2024, the Investment Funds Act, 2019, the Financial and Corporate Service Providers Act, 2020 and the Digital Assets and Registered Exchanges Act, 2024 (the Acts). It has come to the attention of the Commission that the entities listed below may be conducting activities (or purporting to conduct activities), in or from within The Bahamas, that are either registrable/licensable or illegal under one or more of the Acts. The Commission hereby advises the public that none of these entities or their agents/representatives are registered with/licensed by the Commission. Additionally, none of the listed entities have applied to be registered/licensed by the Commission. Therefore, any registrable/licensable activity conducted, in or from within The Bahamas, by these entities and their agents/representatives is in violation of one or more of the Acts. 2 BACKGROUND On each respective website, the above-listed entities offer securities trading/brokerage services and/or digital asset business services. Each website also makes the false claim that the entity is authorized and/or regulated by the Securities Commission of The Bahamas. Further, exhibited on these websites is a fake/fraudulent certificate which may appear at first glance to be authentic, but is in fact an altered document and the valid, unaltered original belongs to other validly regulated entities. By their false claims, each entity, including its agents and representatives, commits an offence and isliable for criminal prosecution and/or regulatory sanctions under one or more of the Acts. WARNING Individuals currently (or desirous of) conducting business with these entities or their agents/representatives, should be aware that they are doing so with entities and/or their agents who are not authorized or regulated by the Commission. Members of the public should exercise extreme caution when considering conducting securities and/or digital asset activities with the aforementioned entities or their agents/representatives. Listings of the Commission’s registrants and licensees that are authorized to engage in activities regulated by any of the Acts, in or from within The Bahamas, are located on the Commission’s website at https://www.scb.gov.bs/registrant-licensee-search/. Before engaging in business with any entity who claims or purports to be authorized and/or regulated by the Commission, you are advised to consult, in the first instance, the publicly available listing.
