Registration in the Register of Securities Issuers of the Reduction of Share Capital of ORHEI Joint Stock Company
The National Commission of the Financial Market (CNPF) issued Decision No. 20/2 on 23 April 2024 to formally register the reduction of share capital for ORHEI Joint Stock Company. This reduction decreases the company's capital by 11,700,000 lei to a final amount of 1,300,000 lei by lowering the nominal value per share from 10 lei to 1 leu, thereby creating 1,300,000 registered ordinary shares. The decision enters into force immediately upon adoption, mandates publication in the Official Monitor and on the CNPF website, and permits a 30-day appeal period to the Commission.

Following the examination of the application submitted by ORHEI Joint Stock Company (19.03.2024) regarding the registration in the Register of Securities Issuers of the reduction of share capital, as well as the accompanying documents submitted in full on 12.04.2024,
pursuant to Law No. 1134/1997 on Joint Stock Companies, Article 8 letter m), Article 20 paragraph (1) and Article 22 paragraph (3) of Law No. 192/1998 on the National Commission of the Financial Market, the Instruction on the stages, deadlines, method and procedures for registering securities (CNPF Decision No. 13/10/2018), points 16, 19 and 21 of the Regulation on the organization and functioning of the National Commission of the Financial Market (CNPF Decision No. 57/11/2022),
The National Commission of the Financial Market DECIDES:

The reduction of share capital of ORHEI Joint Stock Company (IDNO 1003600058340, MD-2005, Chisinau city, Albisoara str. 80/5A) by 11,700,000 lei is registered in the Register of Securities Issuers through the reduction of the nominal value of a share from 10 lei to 1 leu. The company's share capital after reduction will amount to 1,300,000 lei, divided into 1,300,000 registered ordinary shares with a nominal value of 1 leu per share and state registration number MD14ORHE1007.

This Decision may be appealed by submitting a preliminary application to the CNPF (MD-2012, Chisinau city, Stefan cel Mare si Sfant blvd. No. 77) within 30 days from the date of notification.

This Decision enters into force on the adoption date, is communicated to the recipient in accordance with legislation, and is published in the Official Monitor of the Republic of Moldova and on the official website of the CNPF (www.cnpf.md).
