Registration in the Securities Issuers Register of Mixed Enterprise FARMACO SA

the Securities Issuers Register, concerning MIXED ENTERPRISE "FARMACO" SA
Following the examination of the application of MIXED ENTERPRISE "FARMACO" SA (26.09.2024) regarding registration in the Securities Issuers Register in accordance with the report on the results of the additional issuance of shares, as well as the accompanying documents, presented in full volume on 24.02.2025,
on the basis of Law No. 1134/1997 on joint-stock companies, Art. 8 lit. m) and lit. o), Art. 20 para. (1) and Art. 22 para. (3) of Law No. 192/1998 on the National Financial Commission, the Instruction on the stages, deadlines, method and procedures for the registration of securities (Decision of the NFC No. 13/10/2018), pts. 16, 19 and 21 of the Regulation on the organization and functioning of the National Financial Commission (Decision of the NFC No. 57/11/2022),
The National Financial Commission DECIDES:

The securities are registered in the Securities Issuers Register in accordance with the report on the results of the additional issuance of shares of MIXED ENTERPRISE "FARMACO" SA (IDNO 1003600035059, MD-2023, Chisinau city, Vadul lui Vodă str. 2), in the amount of 7,280,564 lei, in the number of 196,772 nominal ordinary shares, from the account of creditor debts. The social capital of the company, after the increase, will constitute 181,309,990 lei, divided into 4,900,270 nominal ordinary shares of class I, with a nominal value of one share of 37 lei and with the identification number MD14FARM1005.

This Decision may be contested by filing a preliminary application to the NFC (MD-2012, Chisinau city, Ștefan cel Mare și Sfânt blvd., no. 77), within 30 days from the date of communication.

This Decision enters into force on the date of presentation of the original document proving payment of the tax and payments related to the registration in the Securities Issuers Register of the securities in accordance with the report on the results of the additional issuance of shares, is communicated to the recipient in accordance with the legislation, is published in the Official Monitor of the Republic of Moldova and on the official website of the NFC (www.cnpf.md).
