Regulation to amend Regulation 51-102 respecting Continuous Disclosure Obligations
The regulator amends Regulation 51-102 respecting Continuous Disclosure Obligations to update references from the legacy SEDAR system to the new SEDAR+ platform. The changes replace mentions of "www.sedar.com" and "SEDAR" with "www.sedarplus.com" and "SEDAR+" across various sections and forms, while also modernizing terminology by substituting "electronic format" with "electronically." These amendments come into force on June 9, 2023, with a specific provision for Saskatchewan regarding the filing date with the Registrar of Regulations.
REGULATION TO AMEND REGULATION 51-102 RESPECTING CONTINUOUS DISCLOSURE OBLIGATIONS Securities Act (chapter V-1.1, s. 331.1, par. (1), (2) and (34))
- Section 1.1 of Regulation 51-102 respecting Continuous Disclosure Obligations (chapter V-1.1, r. 24) is amended by striking out, in paragraph (1), the definition of the expression “electronic format”.
- Section 5.8 of the Regulation is amended by replacing “www.sedar.com”, in subparagraph (iii) of subparagraph (b) of paragraphs (3) and (6), by “www.sedarplus.com”.
- Sections 9.1.1, 9.1.2 and 9.2 of the Regulation are amended by replacing “SEDAR”, wherever it appears, by “SEDAR+”, and making the necessary adaptations.
- Section 12.1 of the Regulation is amended by replacing “in an acceptable electronic format”, in subparagraph (b) of paragraph (2), by “electronically”.
- Form 51-102F2 of the Regulation is amended: (1) in paragraph (f) of part 1: (a) by replacing “SEDAR” by “SEDAR+”; (b) by replacing “SEDAR at www.sedar.com” by “SEDAR+ at www.sedarplus.com”; (2) by replacing “SEDAR at www.sedar.com”, in paragraph (1) of item 17.1, by “SEDAR+ at www.sedarplus.com”.
- Form 51-102F5 of the Regulation is amended: (1) by replacing “SEDAR at www.sedar.com”, in paragraph (c) of part 1, by “SEDAR+ at www.sedarplus.com”; (2) by replacing “SEDAR at www.sedar.com”, in item 16.1 of part 2, by “SEDAR+ at www.sedarplus.com”.
- The Regulation is amended by replacing “in electronic format”, wherever they appear in sections 4.9, 13.3 and 13.4, by “electronically”.
- Forms 51-102F1, 51-102F3 and 51-102F4 of the Regulation are amended by replacing “SEDAR at www.sedar.com”, wherever they appear, by “SEDAR+ at www.sedarplus.com”, and making the necessary adaptations.
- Effective Date (1) This Regulation comes into force on 9 June 2023. (2) In Saskatchewan, despite paragraph (1), if this Regulation is filed with the Registrar of Regulations after 9 June 2023, this Regulation comes into force on the day on which it is filed with the Registrar of Regulations.
