The European Securities and Markets Authority (ESMA), endorsed by the Slovenian Securities and Markets Authority (ATVP), has issued a recommendation requiring issuers to apply the provisions of the revised Delegated Regulation (EU) 2019/980 when preparing prospectuses from 5 June 2026. This guidance addresses the delayed entry into force of the revised regulation, which was adopted on 7 May 2026 but remains legally non-binding until after the Quoting Regulation fully takes effect. Issuers are advised to voluntarily comply with the new prospectus form, content, and approval requirements ahead of the official implementation date to ensure alignment with updated EU securities legislation.

The Securities and Markets Authority (ATVP) informs issuers that the Quoting Regulation, which amends the Prospectus Regulation, began to be fully applied on 5 June 2026. From that date onwards, the provisions of the Quoting Regulation that had not yet entered into force by that date will also apply. The European Securities and Markets Authority (ESMA) has issued a recommendation that issuers, when preparing a prospectus from 5 June 2026, also take into account the provisions of the revised Delegated Regulation (EU) 2019/980 , even though it has not yet entered into force .
Revised Delegated Regulation (EU) 2019/980 (delegated regulation 2019/980) concerning the form, content, examination and approval of a prospectus to be published in connection with an offer of securities to the public or their admission to trading on a regulated market was adopted by the European Commission on 7 . May 2026. However, this regulation, due to a delay in its adoption in the European legislative process, had not yet entered into force by 5 June 2026, when the Quoting Regulation began to apply and all amendments to the Prospectus Regulation took effect.
Therefore, ESMA has issued a recommendation for the period until the entry into force of the revised delegated regulation 2019/980 , that the content of the already adopted but not yet in force revised delegated regulation 2019/980 should be taken into account when preparing a prospectus from 5 June 2026 onwards. The ATVP also agrees with the aforementioned ESMA recommendation, which is legally non-binding.
