On August 5, 2026, Nayax Ltd filed an application to establish Nayax America Bank Inc ., with a main office in Fairfield County as an Innovation Bank pursuant to Section 36a-70 of the Connecticut General Statutes. Branch Activity
On August 5, 2026, the Commissioner approved an application by Ives Bank , headquartered in Danbury, Connecticut, to establish a branch at 326 Highland Avenue, Waterbury. Connecticut pursuant to Section 36a-145(b)(1) of the Connecticut General Statutes. The proposed opening date is November 1, 2026.
On August 5, 2026, the Commissioner approved an application by Numisma Bank , a Connecticut-chartered innovation bank, to establish a representative office in the United Arab Emirates pursuant to Connecticut General Statutes section 36a-145(j).
Special Meeting Notice
On September 17, 2026, a special meeting of the Banking Commissioner will be held pursuant to Sections 1-225 and 36a-70(i) of the Connecticut General Statutes to consider the application of the organizers of Fnality Bank US, for an extension of their Temporary Certificate of Authority to organize an Innovation Bank. CONSUMER CREDIT ACTIVITY
Bankers Healthcare Group, LLC d/b/a BHG Financial
On August 4, 2026, the Commissioner entered into a Consent Order (“Consent Order”) with Bankers Healthcare Group, LLC d/b/a BHG Financial (NMLS # 2040829), (“BHG”), Davie, Florida. As the result of information obtained during an examination of a licensee, the Consumer Credit Division commenced an investigation of BHG. As result of such investigation, the Commissioner alleged that between October 2023 and April 2025, BHG engaged in activity in violation of Section 36a-556(a) of the Connecticut General Statutes by (1) offering, soliciting, brokering, directly or indirectly arranging, placing or finding or advertising small loans to be made by a bank; (2) purchasing or acquiring small loans made by a bank; and (3) receiving payments on small loans. As part of the Consent Order, BHG paid $10,000 as a civil penalty and $800 as back licensing fees.
SECURITIES AND BUSINESS INVESTMENTS DIVISION ACTIVITY
Jayme Frances Lemaire (CRD No. 4336052)
On August 7, 2026, the Banking Commissioner (“Commissioner”) entered into a Consent Order (No. CO-26-20269-S) with Jayme Frances Lemaire (“Lemaire”), who was registered as a broker-dealer agent and investment adviser agent in Connecticut at various times from July 11, 2001, to July 15, 2025.
The Consent Order alleged that Lemaire engaged in dishonest and unethical business practices within the meaning of Section 36b-31-15b(c) of the Regulations of Connecticut State Agencies (“Regulations”) and FINRA Rule 3240 by borrowing money from a brokerage client. The Consent Order also alleged that Lemaire engaged in dishonest and unethical business practices within the meaning of Section 36b-31-15b(c) of the Regulations and FINRA Rule 3220 by accepting cash gifts from two clients in excess of the FINRA permissible limit of $300.00. Lastly, the Consent Order alleged that Lemaire violated Section 36b-23 of the Connecticut Uniform Securities Act because of her inaccurate answer to a disclosure question on a Form U4 filed with the Commissioner.
The Consent Order directed Lemaire to cease and desist from regulatory violations, revoked her current investment adviser agent and broker-dealer agent registrations, denied Lemaire’s pending investment adviser agent and broker-dealer agent registration applications with three separate firms and barred Lemaire from transacting business in Connecticut as a broker-dealer, investment adviser or any other entity requiring a license or registration from the Commissioner. Lemaire also paid an administrative fine of $30,000 to the Department of Banking as part of the Consent Order.
