It mandates that these documents be submitted online via the OJK's data communication network, with offline submission allowed only during technical disruptions. The document specifies detailed content requirements for business plans, including executive summaries, strategic analysis, financial projections, and specific formats for various operational and financial components, as well as signing requirements by the Board of Directors and Board of Commissioners.

CONCERNING
BUSINESS PLANS OF VENTURE CAPITAL COMPANIES AND SHARIA VENTURE CAPITAL COMPANIES
In accordance with the mandate of Article 7 paragraph (3), Article 14 paragraph (5), Article 15 paragraph (5), and Article 19 of the Financial Services Authority Regulation Number 24/POJK.05/2019 concerning Business Plans of Non-Bank Financial Service Institutions (State Gazette of the Republic of Indonesia Year 2019 Number 175, Supplement to the State Gazette of the Republic of Indonesia Number 6392), it is necessary to regulate the scope of business plans, the format and structure of business plan realization reports, the format and structure of business plan supervision reports, and the procedures for submitting business plans, adjusting business plans, changing business plans, business plan realization reports, and business plan supervision reports of venture capital companies and sharia venture capital companies in the Financial Services Authority Circular Letter as follows:
I. GENERAL PROVISIONS
In this Financial Services Authority Circular Letter, the following terms are meant:
Company means venture capital companies and sharia venture capital companies.
Venture Capital Business is a financing business through capital participation and/or financing for a specific period in the context of developing the business of partner businesses or debtors.
Venture Capital Company, hereinafter abbreviated as PMV, is a business entity that conducts Venture Capital Business, venture fund management, fee-based service activities, and other business activities with the approval of the Financial Services Authority.
Sharia Venture Capital Business is a financing business through investment activities and/or service provision carried out for a specific period in the context of developing partner businesses, implemented based on Sharia principles.
Sharia Venture Capital Company, hereinafter abbreviated as PMVS, is a business entity that conducts Sharia Venture Capital Business, venture fund management, and other business activities with the approval of the Financial Services Authority, all of which are implemented based on Sharia principles.
Sharia Principles are Islamic legal provisions based on fatwas and/or Sharia conformity statements from the National Sharia Board of the Indonesian Ulema Council.
Sharia Business Unit, hereinafter abbreviated as UUS, is a working unit of the PMV headquarters that functions as the parent office of offices conducting Sharia Venture Capital Business activities.
Business Plan is a written document describing the Company's business development plans and activities for a specific period, as well as strategies to realize such plans according to set targets and timeframes.
Board of Directors means the Board of Directors as referred to in Law Number 40 of 2007 concerning Limited Liability Companies for Companies in the form of a limited liability company or equivalent to the Board of Directors for Companies in the form of a cooperative legal entity or a limited partnership business entity.
Board of Commissioners means the Board of Commissioners as referred to in Law Number 40 of 2007 concerning Limited Liability Companies for Companies in the form of a limited liability company or equivalent to the Board of Commissioners for Companies in the form of a cooperative legal entity or a limited partnership business entity.
Business Plan Realization Report is a report prepared by the Board of Directors regarding the realization of the Business Plan up to a certain period.
Business Plan Supervision Report is a report from the Board of Commissioners regarding the results of supervision concerning the implementation of the Business Plan up to a certain period.
II. SCOPE OF BUSINESS PLAN
For PMVs that have a UUS, the scope of the Business Plan as referred to in item (1) must also include a specific business plan for the UUS which is an integral part of the Business Plan.
The executive summary as referred to in item 1 letter a contains a brief explanation of the main points of the Business Plan presented concisely so that the Business Plan can be understood comprehensively, including among others:
a. strategic plans and steps to be taken by the Company in the short term for a 1 (one) year period, medium term for a 3 (three) year period, and long term for a 5 (five) year period; b. key financial indicators; and
c. description of short-term targets for a 1 (one) year period.
The executive summary as referred to in item 3 is prepared according to Format 1 as contained in the Appendix which is an integral part of this Financial Services Authority Circular Letter.
The evaluation of the implementation of the previous period's Business Plan as referred to in item 1 letter b contains an explanation regarding:
a. main points of the realization of the previous year's Business Plan; b. obstacles and problems faced; and
c. actions taken to overcome such obstacles and problems.
The evaluation of the implementation of the previous period's Business Plan as referred to in item 5 is prepared according to Format 2 as contained in the Appendix which is an integral part of this Financial Services Authority Circular Letter.
The vision, mission, and business strategy as referred to in item 1 letter c contains an explanation regarding:
a. vision, which is the goal the Company wants to achieve in the long term; b. mission, which is the method used in the short or medium term to achieve the goal;
c. business strategy, which is the Company's strategy and policy direction in facing business competition and societal dynamics in the future, which must include at least:
In preparing the analysis of the Company's position in facing business competition as referred to in item 7 letter c item 1), the Company may use relevant strategic planning analysis methods.
The vision, mission, and business strategy as referred to in item 7 is prepared according to Format 3 as contained in the Appendix which is an integral part of this Financial Services Authority Circular Letter.
The business activity plan as referred to in item 1 letter d item 1) contains an explanation regarding the Venture Capital Business and/or Sharia Venture Capital Business plan which must include at least:
a. Venture Capital Business and/or Sharia Venture Capital Business plans based on business activity types; b. Venture Capital Business and/or Sharia Venture Capital Business plans based on economic sectors; and
c. Venture Capital Business and/or Sharia Venture Capital Business plans based on location.
The business activity plan as referred to in item 10 is prepared according to Format 4 as contained in the Appendix which is an integral part of this Financial Services Authority Circular Letter.
The plan for developing or expanding business activities as referred to in item 1 letter d item 2) must include at least:
a. plans to carry out other business activities that must first obtain approval from the Financial Services Authority; b. plans for venture fund management that must first obtain approval from the Financial Services Authority;
c. plans to carry out fee-based service activities that must first be reported to the Financial Services Authority; and
d. plans to use contracts not previously used that must first be reported to the Financial Services Authority.
The plan for developing or expanding business activities as referred to in item 12 is prepared according to Format 5 as contained in the Appendix which is an integral part of this Financial Services Authority Circular Letter.
The capital plan as referred to in item 1 letter d item 3) must include at least:
a. capital projections; and b. capital change plans.
The capital plan as referred to in item 14 is prepared according to Format 6 as contained in the Appendix which is an integral part of this Financial Services Authority Circular Letter.
The financing plan as referred to in item 1 letter d item 4) must include at least plans to obtain financing from:
a. financing plans based on financing sources; and b. financing plans based on currency.
The financing plan as referred to in item 16 is prepared according to Format 7 as contained in the Appendix which is an integral part of this Financial Services Authority Circular Letter.
The plan for developing and/or changing office networks or distribution channels as referred to in item 1 letter d item 5) must include at least:
a. plans to open branch offices, Sharia branch offices, and/or offices other than Sharia branch offices; b. plans to change the addresses of headquarters, branch offices, Sharia branch offices, and/or offices other than Sharia branch offices; and
c. plans to close branch offices, Sharia branch offices, and/or offices other than Sharia branch offices.
The plan for developing and/or changing office networks or distribution channels as referred to in item 18 is prepared according to Format 8 as contained in the Appendix which is an integral part of this Financial Services Authority Circular Letter.
The plan for organizational, human resources, and/or information technology development as referred to in item 1 letter d item 6) must include at least:
a. organizational development plans, including among others:
The plan for organizational, human resources, and/or information technology development as referred to in item 20 is prepared according to Format 9 as contained in the Appendix which is an integral part of this Financial Services Authority Circular Letter.
The plan for activities to increase financial literacy and inclusion as referred to in item 1 letter d item 7) is prepared according to the format regulated in the Financial Services Authority Circular Letter concerning the implementation of activities to increase financial literacy in the financial service sector and the Financial Services Authority Circular Letter concerning the implementation of activities to increase financial inclusion in the financial service sector.
The projected financial statements along with the assumptions used as referred to in item 1 letter e must include at least:
a. assumptions used in preparing the projected financial statements, including:
The projected financial statements along with the assumptions used as referred to in item 23 is prepared according to Format 10 as contained in the Appendix which is an integral part of this Financial Services Authority Circular Letter.
The projected ratios and specific items as referred to in item 1 letter f is prepared according to Format 11 as contained in the Appendix which is an integral part of this Financial Services Authority Circular Letter.
Business Plans containing:
a. key financial indicators in the executive summary as referred to in item 3 letter b; b. business activity plans as referred to in item 10;
c. financing plans as referred to in item 16;
d. projected financial statements along with the assumptions used as referred to in item 23; and e. projected ratios and specific items as referred to in item 25, are presented:
Other information as referred to in item 1 letter g must include at least:
a. sustainable finance action plans; b. merger, consolidation, and/or separation plans;
c. plans to cease business activities so as no longer to be a Company;
d. plans to convert PMVs into PMVSs; and e. plans to form, close, or separate UUSs.
The sustainable finance action plan as referred to in item 27 letter a is prepared according to the format regulated in the Financial Services Authority Regulation concerning the implementation of sustainable finance for financial service institutions, issuers, and public companies.
The merger, consolidation, and/or separation plan as referred to in item 27 letter b is prepared according to Format 12 as contained in the Appendix which is an integral part of this Financial Services Authority Circular Letter.
The plan to cease business activities so as no longer to be a Company as referred to in item 27 letter c is prepared according to Format 13 as contained in the Appendix which is an integral part of this Financial Services Authority Circular Letter.
The plan to convert PMVs into PMVSs as referred to in item 27 letter d is prepared according to Format 14 as contained in the Appendix which is an integral part of this Financial Services Authority Circular Letter.
The plan to form, close, or separate UUSs as referred to in item 27 letter e is prepared according to Format 15 as contained in the Appendix which is an integral part of this Financial Services Authority Circular Letter.
Business Plans containing:
a. business activity plans as referred to in item 1 letter d item 1); b. plans for developing or expanding business activities as referred to in item 1 letter d item 2);
c. capital plans as referred to in item 1 letter d item 3);
d. financing plans as referred to in item 1 letter d item 4); e. plans for developing and/or changing office networks or distribution channels as referred to in item 1 letter d item 5); f. plans for organizational, human resources, and/or information technology development as referred to in item 1 letter d item 6); g. merger, consolidation, and/or separation plans as referred to in item 27 letter b; h. plans to cease business activities so as no longer to be a Company as referred to in item 27 letter c;
i. plans to convert PMVs into PMVSs as referred to in item 27 letter d; and
j. plans to form, close, or separate UUSs as referred to in item 27 letter e, also contain descriptions regarding:
III. FORMAT AND STRUCTURE OF BUSINESS PLAN REALIZATION REPORTS AND BUSINESS PLAN SUPERVISION REPORTS
Business Plan Realization Reports include:
a. explanations regarding the achievement of the Business Plan, namely the comparison between the plan and the realization of the Business Plan, including regarding the focus and priority of Business Plan achievement; b. explanations regarding deviations in the realization of the Business Plan, namely explanations regarding the causes and obstacles of deviations between the plan and the realization of the Business Plan;
c. follow-up actions on the achievement of the Business Plan, namely follow-up efforts that have been and will be carried out to improve the realization achievement of the Business Plan;
d. financial ratios and specific items; and e. other information, which among others contains information that needs to be submitted because it affects the realization of the Business Plan, but is not yet included in the scope of Business Plan Realization Reports as referred to in letters a through d.
For PMVs that have a UUS, the Business Plan Realization Report must also contain a specific realization report for the UUS which is an integral part of the Business Plan Realization Report.
Business Plan Realization Reports must be signed by members of the Board of Directors.
Business Plan Realization Reports are prepared according to Format 16 as contained in the Appendix which is an integral part of this Financial Services Authority Circular Letter.
Business Plan Supervision Reports must contain at least the Board of Commissioners' assessment regarding:
a. the realization of the Business Plan both quantitatively and qualitatively; b. factors affecting the Company's performance; and
c. efforts to improve the Company's performance.
For PMVs that have a UUS, the Business Plan Supervision Report must also contain a specific supervision report for the UUS which is an integral part of the Business Plan Supervision Report.
Business Plan Supervision Reports must be signed by members of the Board of Commissioners.
Business Plan Supervision Reports are prepared according to Format 17 as contained in the Appendix which is an integral part of this Financial Services Authority Circular Letter.
IV. PROCEDURES FOR SUBMITTING BUSINESS PLANS, ADJUSTING BUSINESS PLANS, CHANGING BUSINESS PLANS, BUSINESS PLAN REALIZATION REPORTS, AND BUSINESS PLAN SUPERVISION REPORTS
Companies must submit Business Plans, adjusted Business Plans, changed Business Plans, Business Plan Realization Reports, and Business Plan Supervision Reports to the Financial Services Authority online via the Financial Services Authority's data communication network system.
Companies are required to ensure that the Business Plan submitted online as referred to in item 1 is correct and identical to the printed (hardcopy) document of the Business Plan.
In the event that the Financial Services Authority's data communication network system as referred to in item 1 is not yet available or experiences technical disruptions, the submission of Business Plans, adjusted Business Plans, changed Business Plans, Business Plan Realization Reports, and Business Plan Supervision Reports is submitted to the Financial Services Authority offline by:
a. being handed over directly; or b. being sent through a courier service company.
In the event of technical disruptions as referred to in item 3, the Financial Services Authority announces this via the Financial Services Authority's website.
Offline submission of reports as referred to in item 3 must be submitted in electronic data (softcopy) form using media such as compact discs (CDs) or other electronic data storage media.
Submission of reports as referred to in item 5 must be accompanied by a cover letter in printed (hardcopy) form signed by the Board of Directors.
Submission of cover letters and Business Plans, adjusted Business Plans, changed Business Plans, Business Plan Realization Reports, and Business Plan Supervision Reports offline as referred to in item 3 is addressed to:
a. for PMVs:

8. In the event of a change in the address of the Financial Services Authority for the submission of reports as referred to in item 7, the Financial Services Authority provides notification regarding the address change via letter or announcement.
9. Companies are deemed to have submitted the Business Plan, Business Plan Adjustment, Business Plan Change, Business Plan Realization Report, and Business Plan Supervision Report with the following provisions:
a. for online submission through the Financial Services Authority's data communication network system, evidenced by a receipt from the Financial Services Authority's data communication network system; or b. for offline submission, evidenced by a receipt from the Financial Services Authority.
V. CLOSING
The provisions of this Financial Services Authority Circular shall take effect as of the date of determination.
