Conasev Resolution No. 053-2011

Lima, June 30, 2011

HAVING SEEN:

File No. 2011003525 and Report No. 277-EF/94.06.2 dated May 11, 2011, submitted by the Directorate of Autonomous Assets, with the favorable opinion of the General Management;

CONSIDERING:

That, through Autonomous Assets Directorial Resolution No. 037-2010-EF/94.06.2 of November 8, 2010, authorization was granted to Columbia Pacific Capital S.A. and Mr. Daniel Stuart Berns for the organization of the investment fund management company named FARO CAPITAL SAFI S.A.;

That, through a written submission presented on February 2, 2011, complemented on March 25, April 6, 11, and 19, 2011, the organizers requested the operating authorization for Faro Capital SAFI S.A.;

That, from the evaluation of the documentation presented, it has been determined that Faro Capital SAFI S.A. has complied with the provisions of Article 22 of the Regulations on Investment Funds and their Management Companies, approved by CONASEV Resolution No. 042-2003-EF/94.10 and its amendments, as well as the provisions stated in the Single Text of Administrative Procedures of CONASEV, approved by Supreme Decree No. 056-2002-EF, and its amendments; and,

In accordance with the provisions of Article 2, subsection a) of the Concorded Single Text of the Organic Law of CONASEV, approved by Legislative Decree No. 26126, and in application of the provisions of Article 6, subsection l) of the Organization and Functions Regulations of CONASEV, approved by Supreme Decree No. 038-2007-EF, as well as what was agreed upon by the CONASEV Board of Directors met in session on June 27, 2011;

IT IS RESOLVED:

Article 1.- Authorize the operation of Faro Capital SAFI S.A. as an investment fund management company.

Article 2.- Order the registration of Faro Capital SAFI S.A. in the corresponding section of the Public Registry of the Securities Market.

Article 3.- This resolution shall enter into force the day following its publication in the official newspaper “El Peruano”.

Article 4.- Order the dissemination of this resolution in the official newspaper “El Peruano” and on the CONASEV Portal.

Article 5.- Transcribe this resolution to Faro Capital SAFI S.A.
