Decisions of the Board of Directors of the National Financial Market Commission – June 12 and 16, 2026

During the meetings on June 12 and 16, 2026, the Board of Directors of the National Financial Market Commission (CNPF) adopted a series of decisions related to consumer protection and the capital market, inter alia:

I. Regulation:

Approval and submission for endorsement and public consultation of the draft amendment to the standardized form of the "Green Card" insurance certificate, approved by Annex no. 11 to CNPF Decision no. 24/1/2024. The proposed amendments are technical in nature and aim to ensure the continuous conformity of the document used in the Republic of Moldova with the standard model approved by the Council of Bureaux of the International "Green Card" Insurance System. Specifically, these amendments concern the update of contact information on the back of the certificate, related to the national bureau in Albania and the National Bureau of Motor Insurers of the Republic of Moldova.

II. Authorization:

Registration in the Register of Securities Issuers of the results regarding:

the 3rd bond issue, part of the Offer Program (IV), of Commercial Bank "MOLDOVA-AGROINDBANK" SA, in the amount of 172,880,000 lei, comprising 8,644 class XIII registered bonds, with a nominal value of 20,000 lei per bond, with a circulation period of 3 years, with a floating interest rate, linked to the weighted average interest rate on new deposits attracted across the banking sector (in national currency), with a term of 6 to 12 months, published on the official website of the National Bank of Moldova (www.bnm.md) on the first day of the public offer period (11.05.2026) and which changes annually on the same date (month and day) + a fixed margin of 1.25%, paid monthly.

the supplementary share issue of the Voluntary Pension Funds Management Company "ARAGONN GRUP" SA, in the amount of 3,000,000 lei, comprising 3,000,000 ordinary registered shares, from monetary funds. The company's share capital, after the increase, will amount to 8,000,000 lei, divided into 8,000,000 class I ordinary registered shares, with a nominal value of 1 leu per share.

Deletion from the Register of Securities Issuers of previously issued securities by Foreign Capital Enterprise "LEMI INVEST" SA, comprising 30,000 ordinary registered shares, as a result of its reorganization by transformation into the limited liability company "LEMI INVEST".

III. Supervision:

Sanctioning of IM CIA "TRANSELIT" SA with a coercive fine of 12,000 MDL for the incomplete execution of measures previously ordered by the authority to resolve a claim file related to travel medical insurance.

The CNPF identified a series of violations during a thematic control carried out in the banking and payments sector.
