On the Approval of the Prospectus for the Voluntary Takeover Offer of Shares Issued by Drumuri-Balti JSC
The National Financial Market Commission of Moldova approved the prospectus for a voluntary takeover offer initiated by Magistrala-Nord SRL to acquire 52,041 ordinary shares of Drumuri-Balti JSC at a price of 22.40 lei per share. The offer is scheduled to last for 15 days from the date of initiation and was authorized under relevant capital market and commission regulations. This decision entered into force on the date of adoption and was published in the Official Monitor and on the Commission's website.

On the Approval of the Prospectus for the Voluntary Takeover Offer of Shares Issued by Drumuri-Balti Joint Stock Company
Following the examination of the application submitted by the offeror "Magistrala-Nord" SRL (registered with the National Financial Market Commission (CNPF) under No. 6744 on 13.09.2024) regarding the approval of the prospectus for the voluntary takeover offer of shares issued by Drumuri-Balti Joint Stock Company, as well as the accompanying documents, presented in full volume on 23.09.2024,
based on Article 8 letter k), Article 20 paragraph (1) and Article 22 paragraph (3) of Law No. 192/1998 on the National Financial Market Commission, Article 20 paragraph (1) letter a) and Article 24 paragraph (4) of Law No. 171/2012 on the capital market, the Regulation on Public Takeover Offers (CNPF Decision No. 33/1/2015), points 16, 19 and 21 of the Regulation on the Organization and Functioning of the National Financial Market Commission (CNPF Decision No. 57/11/2022),
The National Financial Market Commission DECIDES:
- The prospectus for the voluntary takeover offer, initiated by the offeror "Magistrala-Nord" SRL (IDNO 1011607000998), the subject of which is the acquisition of 52,041 ordinary registered shares issued by Drumuri-Balti Joint Stock Company (IDNO 1003602008028, MD-3100, Bălți city, Decebal str. 133), at the price of 22.40 lei per share, with a duration of 15 days from the date of initiation, is approved.
- This Decision may be contested by submitting a preliminary request to the CNPF (MD-2012, Chișinău city, Ștefan cel Mare și Sfânt blvd., No. 77), within 30 days from the date of notification.
- This Decision enters into force on the date of adoption, is communicated to the recipient in accordance with the legislation, is published in the Official Monitor of the Republic of Moldova and on the official website of the CNPF (www.cnpf.md).
