Regulation to Amend Regulation 44-101 Respecting Short Form Prospectus Distributions
The regulator amends Regulation 44-101 to incorporate the definition of SEDAR+ and mandate its use for document transmission by issuers. The amendments update specific sections and forms to replace references to the legacy Sedar website with the new SEDAR+ platform. These changes come into force on June 9, 2023, with a delayed effective date provision for filings in Saskatchewan.
REGULATION TO AMEND REGULATION 44-101 RESPECTING SHORT FORM
PROSPECTUS DISTRIBUTIONS
Securities Act
(chapter V-1.1, s. 331.1, par. (1), (2) and (34))
Section 1.1 of Regulation 44-101 respecting Short Form Prospectus Distributions
(chapter V-1.1, r. 16) is amended by inserting, after the definition of the expression
“permitted supranational agency”, the following:
““SEDAR+” has the same meaning as in Regulation 13-103 respecting System for
Electronic Data Analysis and Retrieval + (SEDAR+) (insert reference);”.
Section 2.2 of the Regulation is amended by replacing paragraph (a) by the following:
“(a) the issuer is required to transmit documents through SEDAR+;”.
Sections 2.3 and 2.6 are amended by replacing subparagraph (a), in paragraph (1), by
the following:
“(a) the issuer is required to transmit documents through SEDAR+;”.
Effective Date
(1) This Regulation comes into force on 9 June 2023.
(2) In Saskatchewan, despite paragraph (1), if this Regulation is filed with the
Registrar of Regulations after 9 June 2023, this Regulation comes into force on the day on
which it is filed with the Registrar of Regulations.
