PROVISIONS
Article One: Purpose of this Law
The purpose of this Law is to promote and facilitate investment in Rwanda.
Article 2: Definitions
In this Law, the following terms are defined as follows:
1º angel investor: an individual who providesfinancial backing forstart-ups in exchange for ownership equity or quasi equity in the company; 2º asset-backed securities: financial securities whose accessories derived from assets are used for payment; 3º Board: organ in charge of investment promotion in Rwanda; ADOPTE:
CHAPITRE PREMIER: DISPOSITIONS GÉNÉRALES
Article premier: Objet de la présente loi
La présente loi a pour objet la promotion et la facilitation des investissements au Rwanda.
Article 2: Définitions
Aux fins de la présente loi, les termes repris ci￾après ont les significations suivantes:
1º investisseur providentiel: personne physique qui apporte un soutienfinancier aux sociétés commerciales naissantes en échange d’une participation au capital ou de quasi-participation dans la société; 2º titres adossés à des actifs: titres financiers dont les accessoires dérivant du patrimoine sont utilisés pour le paiement; 3º Office: organe ayant dans ses attributions la promotion des investissements au Rwanda;

Official Gazette n° 04 bis of 08/02/2021 4° ibikorwa by’isosiyete bikorwa n’indi sosiyete: amasezerano isosiyete y’inyamahanga igirana n’isosiyete yo mu Rwanda kugira ngo iyikorere bimwe mu bikorwa byayo mu Rwanda; 5° ishyingu: igishoro kigizwe n’umutungo ufatika cyangwa udafatika ukoreshejwe hagamijwe ishoramari; 6° ubwishingizi bushingiye ku buryozwe bw’isosiyete umwishingizi ashamikiyeho: ubwishingizi bwemera gusa uburyozwe bushingiye ku byateza igihombo isosiyete mbyeyi n’ibigobiri mu miterere y’itsinda rimwe hakurikijwe amategeko abigenga; 7° Ikigega cy’ishoramari cy’abishyize hamwe: ubwoko bw’ikigega aho amasezerano yo gukusanya no gushyira hamwe amafaranga aturutse mu bashoramari cyangwa mu bandi bafatanyabikorwa kugira ngo ashorwe mu nyungu za buri mufatanyabikorwa cyangwa buri mushoramari uhagarariwe n’imigabane ye yashowe; 8° umutunganyantara: umuntu ku giti cye, isosiyete y’ubucuruzi, ubufatanye 4º business process outsourcing: an agreement where a foreign company outsources in Rwanda some of its business functions to a company operating in Rwanda; 5º capital: a wealth in the form of tangible or intangible assets used for investment purposes; 6º captive insurance scheme: a business aimed at undertaking liability solely to the risks of the parent company and entities within the same group structure in accordance with relevant laws; 7º Collective Investment Scheme: a type of scheme where there is an arrangement for collecting andpooling funds from investors or participants for the purpose of investment in the interest of each participant or investor represented by his or her proportional ownership in the pool; 8º developer: an individual, a company, commercial partnership or any other 4º externalisation des processus de société:

Official Gazette n° 04 bis of 08/02/2021 mu bucuruzi cyangwa ikindi kigo gifite ubuzimagatozi bakora ibikorwa by’ubwubatsi cyangwa indi mirimo yerekeye imitungo itimukanwa ifatika mu cyanya cyihariye mu guteza imbere guhanga udushya mu ikoranabuhanga cyangwa mu cyanya cy’inganda; 9° ikinyabiziga gikoresha ingufu z’amashanyarazi: ikinyabiziga kigenda gikoresheje ingufu z’amashanyarazi mu mikorere yacyo yose cyangwa mu gice cyacyo; 10° kohereza mu mahanga: gucuruza ibintu cyangwa serivisi hanze y’u Rwanda; 11°ahantu hatunganyirizwa ibyoherezwa mu mahanga: ahantu hagenwe kandi hagenzurwa hatunganyirizwa ibicuruzwa hagamijwe kubyohereza mu mahanga; 12° serivisi z’impuguke zigenewe umuryango: serivisi zitangwa zirimo gucunga ibikorwa by’ishoramari ry’umuryango cyangwa kuwugira inama za kinyamwuga mu rwego rw’imari; legal entity that is involved in the construction or operations of the real estate of a specialised innovation park or specialised industrial park; 9º electric mobility: a vehicle which is fully or partly powered electrically; 10º export: sending goods or services outside Rwanda for sale; 11º export processing zone: a predetermined and controlled area used for processing goods that are subject to control for export purposes; 12º family office services: services that include managing family investments or providing financial professional support to the family; toute autre entité juridique impliqué dans la construction ou dans les opérations des biens immobiliers du parc d’innovation spécialisé ou du parc industriel spécialisé; 9º mobilité électrique: véhicule qui est entièrement ou partiellement alimenté en électricité; 10º exportation: envoi de biens ou de services à l’extérieur du Rwanda pourles commercialiser; 11º zone franche d’exportation: espace prédéterminé et contrôlé destiné à la transformation de biens soumis au contrôle à des fins d’exportation; 12º services de gestion de patrimoine familial: services qui comprennent la gestion des investissements familiaux et la fourniture d’un soutien financier professionnel à la famille;

a) umuntu ku giti cye utari Umunyarwanda, udakomoka mu gihugu kigize Umuryango w’Afurika y’Iburasirazuba, mu Muryango w’Ubuhahirane bw’Ibihugu bya Afurika y’Amajyepfo n’iby’Iburasirazuba cyangwa mu 13º financial advisory commercial entity: a commercial entity that provides advice or marketing on capital markets products, securities, life policies, collective investment scheme including unit trusts, future contracts, or foreign exchange transactions; 14º finance lease commercial entity: a commercial entity that offers lending services against the right of an asset; 15º financial technology commercial entity: a commercial entity that provides or develops technology solution to support financial services; 16º foreign investor:
a) an individual who is not a Rwandan national or a resident of a Partner State of the East African Community or of a member State of the Common Market for Eastern and Southern Africa or of a member State of any other Common Market 13º entité commerciale de conseil financier: entité commerciale quifournit des conseils ou fait le marketing des produits du marché de capitaux, des titres, des polices d’assurance-vie, des fonds d’investissement collectif, y compris des fonds d’investissement à participation unitaire, des contrats futurs ou des opérations d’échange de devises; 14º entité commerciale de crédit-bail:

a) une personne physique qui n’est pas citoyen du Rwanda ou d’un État membre de la Communauté d’Afrique de l’Est ou du Marché Commun de l’Afrique Orientale et Australe ou d’un État membre de tout autre protocole du marché commun

Article 3: Openness to investment
All business sectors are open to private investment regardless of the origin of the investor. However, an investor is encouraged to invest in priority economic sectors.
Article 4: Priority economic sectors
The priority economic sectors that benefit from investment incentives are the following:

Article 5: Strategic investment projects
Strategic investment projects are investment projects of national importance, which have a strategic impact on the development of the country and which meet one of the following criteria:
a) an anchor investment with first-mover demonstration effects; b) to create a significant impact on the value chain in its sector; c) to develop a proof of concept established in Rwanda for Rwanda, the rest of Africa or global markets to validate the feasibility of a new wayof doing things, either to solve existing problems or to execute new strategies; d) to develop market-creating innovations which make essential Un arrêté du Ministre peut déterminer d’autres secteurs économiques prioritaires.

Article 6: Investment incentives
Investment incentives provided for in Annex to this Law are granted to a registered investor fulfilling requirements. However, a registered investor is entitled to other investment incentives in addition to those provided for by this Law. Article 6: Incitants à l’investissement

Toutefois, un investisseur enregistré peut avoir droit à d’autres incitants à l’investissement supplémentaires à ceux prévus par la présente loi. Un arrêté du Ministre peut déterminer d’autres incitants à l’investissement correspondant aux secteurs économiques prioritaires.

Article 7: Investment incentives granted by
the Cabinet
The Cabinet may grant to a registeredinvestor for strategic investment projects additional investment incentives to the incentives provided for by this Law.
Article 8: Approval of strategic investment
projects and corresponding additional investment incentives Strategic investment projects that meet qualifying criteria and corresponding additional investment incentives are approved by the Cabinet upon proposal of the Private Investment Committee. The proposal to approve strategic investment projects and corresponding additional investment incentives indicates the following:
1 º sector of the investment; 2 º estimated investment amount;
Article 7: Incitants à l’investissement
accordés par le Conseil des Ministres Le Conseil des Ministres peut accorder à un investisseur enregistré pour les projets d’investissement stratégique des incitants à l’investissement supplémentaires à ceux prévus par la présente loi.
Article 8: Approbation des projets
d’investissement stratégique et des incitants à l’investissement supplémentaires Les projets d’investissement stratégique répondant aux critères de qualification et des incitants à l’investissement supplémentaires sont approuvés par le Conseil des Ministres sur proposition du Comité des investissements privés. La proposition d’approuver des projets d’investissement stratégique et des incitants à l’investissement supplémentaires indique ceux qui suivent:
1 º le secteur de l’investissement; 2 º le montant estimé de l’investissement;

Ingingo ya 9: Uko umushoramari w’umunyamahanga afatwa mu Gihugu Umushoramari w’umunyamahanga yemerewe gushora imari no kugura imigabane mu kigo cy’ishoramari mu Rwanda kandi afatwa kimwe n’umushoramari w’Umunyarwanda ku bijyanye n’ibyemezo bishishikariza ishoramari no koroherezwa mu ishoramari. 3 º estimated number of jobs to be created; 4 º corresponding additional investment incentives necessary for the successful implementation of the project; 5 º commercial and economic impact of the investment and where applicable, a cost-benefit analysis of the investment incentives to be granted. Upon approval of strategic investment projects and their corresponding additional investment incentives, an agreement is negotiated between the registered investor and the Government.
Article 9: Foreign investor treatment in the
country
A foreign investor is authorized to invest and purchase shares in an investment entity in Rwanda and is given equal treatment with Rwandan investors with regard to investment incentives and investment facilitation. 3 º le nombre estimé d’emplois à créer; 4 º les incitants à l’investissement supplémentaires correspondants nécessaires à la bonne réalisation du projet; 5 º l’impact commercial et économique de l’investissement et, le cas échéant, une analyse coûts-avantages des incitants à l’investissement à accorder. Un investisseur étranger est autorisé à investir et acquérir des actions dans une entité d’investissement au Rwanda et bénéficie du même traitement qu’un investisseur rwandais en ce qui concerne les incitants à l’investissement et la facilitation d’investissement.

Article 10: Protection of the investor’s
capital and assets
An investor has right to own private property, whether individually or collectively. Private property, whether individually or collectively owned, is inviolable. Investment, interest in or right over a property forming part of the investment cannot be seized or confiscated, except where provided for by relevant laws. Action to expropriate an investor’s propertyin public interest is taken after the investor is given fair compensation in accordance with relevant laws.
Article 11: Protection of intellectual
property rights in relation to investment The investor’s intellectual property rights and legitimate rights related to technology transfer are protected in accordance with relevant laws.
Article 10: Protection du capital et du
patrimoine de l’investisseur Un investisseur a droit à la propriété privée, qu’elle soit individuelle ou collective. La propriété privée individuelle ou collective est inviolable. Un investissement, un intérêt ou un droit en rapport avec une propriété faisant partie de l’investissement ne peut pas faire l’objet de saisie ou de confiscation, sauf dans les cas prévus par la législation en la matière. Un investisseur est exproprié pour cause d’utilité publique après qu’une juste indemnisation lui ait été versée conformément à la législation en la matière.
Article 11: Protection des droits à la
propriété intellectuelle en matière d’investissement Les droits à la propriété intellectuelle de l’investisseur et les droits légitimes sur le transfert de la technologie sont protégés conformément à la législation en la matière.

Article 12: Repatriation of capital and
assets
Upon fulfilling tax obligations in Rwanda, an investor is allowed to repatriate the following:
1 º the capital;
2 º profits derived from business activities; 3 º debt and interest on foreign loans; 4 º proceeds from the liquidation of investment; 5 º other assets of an investor.
Article 13: Dispute settlement
A dispute that arises between an investor and a State organ in connection with a registered investment is amicably settled. If an amicable settlement cannot be reached, parties refer the dispute to an agreed arbitration institution or to any other dispute settlement procedure provided for under an agreement between both parties.
Article 12: Rapatriement du capital et du
patrimoine
Après l’accomplissement des obligations fiscales au Rwanda, un investisseur a le droit de rapatrier ce qui suit:
1 º le capital;
2 º les profits découlant de ses activités commerciales; 3 º le principal et intérêt sur le prêt étranger; 4 º le produit de la liquidation de l’investissement; 5 º autres actifs appartenant à l’investisseur.
Article 13: Règlement des différends
Un différend qui naît entre un investisseur et un organe de l’État en rapport avec un investissement enregistré est réglé à l’amiable. À défaut de règlement à l’amiable, les parties renvoient leur différend à l’institution d’arbitrage convenue ou à toute autre modalité de règlement de différends prévue dans l’accord conclu entre les deux parties.

If no dispute settlement procedure is provided under a written agreement, both parties refer the dispute to the competent court.
Article 14: Other guarantees to an investor
The Board ensures day-to-day facilitation to an investor in the implementation of his or her project and also facilitates him or her in the following:
1º acquiring visas and work permits; 2º water and electricity connection; 3º being granted a licence by the business sector in which he or she intends to operate, where applicable; 4º getting an environmental impact assessment certificate; 5º other investment-related support that may be required. Lorsqu’aucune modalité d’arbitrage n’est prévue dans l’accord écrit, les deux parties saisissent la juridiction compétente.
Article 14: Autres garanties à un
investisseur
L’Office assure le service quotidien facilitant l’investisseur dans la mise en œuvre de son projet et lui facilite également ce qui suit :
1º l’obtention des visas et des permis de travail; 2º le raccordement à l’eau et à l’électricité; 3º l’obtention d’une licence délivrée par le secteur d’activité dans lequel il veut opérer, le cas échéant; 4º l’obtention d’un certificat d’étude d’impact environnemental; 5º autre assistance qui s’avérerait nécessaire en matièred’investissement.

Section 2: Institutional arrangement in
investment facilitation
Article 15: Private Investment Committee
There is established the Private Investment Committee. It has the following duties:
1º to review and approve proposed strategic investment projects for negotiation of an agreement with the Government; 2º to review and approve proposed additional investment incentives to be granted to strategic investment projects; 3º to discuss investors’ issues and propose acceleration measures to resolve them; 4º to identify other priority economic sectors to be approved by the Cabinet; 5º to provide fast-track measures to increase competitiveness and private sector growth.
Section 2: Arrangement institutionnel en

Article 15: Comité des investissements

Il est établi un comité des investissements privés. Il a les attributions suivantes:
1º examiner et approuver les projets d’investissement stratégique proposés en vue de négocier un accord avec le Gouvernement; 2º examiner et approuver les incitants à l’investissement supplémentaires proposés pour les projets d’investissement stratégique; 3º discuter des questions relatives aux investisseurs et proposer des mesures d’accélération pour les résoudre; 4º identifier d’autres secteurs économiques prioritaires à être approuvées par le Conseil des Ministres; 5º proposer des mesures d’accélération pour accroître la compétitivité et la croissance du secteur privé;

Article 16: Role of the Board in investment
promotion and facilitation The role of the Board in investment promotion and facilitation is as follows:
1 º ensure regular monitoring of registered investor’s operations; 2 º keep records related to investment certificates, work permits, visas and other documents pertaining to the registered investment enterprise; 3 º carry out monitoring of investment projects in order to ensure that incentives are directed to the projects which adhere to the requirements and the investor’s submitted business plan; 4 º facilitate amicable settlement of disputes that may arise between an investor and a State organ; 5 º represent the Government in Un arrêté du Premier Ministre détermine d’autres attributions du Comité des investissements privés, sa composition et son fonctionnement.

REGISTRATION AND INVESTMENT CERTIFICATE
Section One: Investment registration
Article 17: Application for investment
registration
A commercial entity wishing to register an investment files an application thereof with the Board. The application for registration of investment contains the following documents:
1 º a filled investment registration application form; 2 º a certificate ofincorporation; 3 º a business plan that includes at least négociations relatives aux accords d’investissement; 6 ºéviter de révéler les informations confidentiellesfournies par un investisseur. Article 17: Demande d’enregistrement d’un
investissement
Une entité commerciale qui désire faire enregistrer un investissement en fait la demande auprès de l’Office. La demande d’enregistrement d’un investissement contient les documents suivants:
1 º un formulaire de demande d’enregistrement rempli; 2 º un certificat de constitution; 3 º un plan d’affaires qui comprend au

Iyo idosiye y’ubusabe bwo kwandikisha ishoramari yuzuye, Urwego rwandika ishoramari kandi rugaha umushoramari wanditswe icyemezo cy’ishoramari mu gihe kitarenze iminsi ibiri (2) y’akazi uhereye ku munsi ubusabe bwakiriweho. 4 º a project environmental impact assessment certificate; 5 º the projected number of employees and categories of employments; 6 º a proof of payment of non-refundable registration fee; 7 º a license granted by the businesssector in which the investor intends to operate. An Order of the Minister determines investment registration application form and non-refundable registration fee.
Article 18: Consideration of an application
for investment registration The Board considers the documents contained in the application file for registration of an investment and makes a decision thereon. If the application file for registration of the investment is complete, the Board registers investment, and issues an investment certificate to the registered investor within two (2) working days from the date of receipt of the application. 4 º un certificat d’étude d’impact environnemental du projet ; 5 º l’effectif des employés prévus et les catégories d’emplois ; 6 º une preuve de payement des frais d’enregistrement non remboursables ; 7 º une licence octroyée par le secteur d’activité dans lequel l’investisseur a l’intention d’opérer. Un arrêté du Ministre détermine le formulaire de demande d’enregistrement d’un investissement et les frais d’enregistrement non remboursables.
Article 18: Examen d’une demande
d’enregistrement d’un investissement L’Office examine les documents contenus dans le dossier de demande d’enregistrement d’un investissement et prend la décision à cet égard. Lorsque le dossier de demande d’enregistrement d’un investissement est complet, l’Office enregistre l’investissement et délivre un certificat d’investissement à un investisseur enregistré dans les deux (2) jours ouvrables suivant la réception de la demande.

If the application file for registration of an investment is not complete, the Board rejects the application and informs, in writing, the registered investor, of reasons for rejection within two (2) working days from the date of receipt of the application.
Section 2: Investment certificate
Article 19: Validity of an investment
certificate
An investment certificate is valid for a period of five (5) years from the date of its issuance. However, an investment certificate can be renewed on request by a registered investor. The period of renewal is five (5) years renewable. An application for renewal of an investment certificate is filed with the Board and is subject to payment of a non-refundable renewal fee. An Order of the Minister determines a non￾refundable renewal fee. Lorsque le dossier de demande d’enregistrement d’un investissement n’est pas complet, l’Office rejette la demande et en informe par écrit l’investisseur enregistré des motifs de rejet dans les deux (2) jours ouvrables suivant la réception de la demande.
Section 2: Certificat d’investissement
Article 19: Validité d’un certificat
d’enregistrement
Un certificat d’investissement est valablepour une période de cinq (5) ans après le jour de sa délivrance. Toutefois, un certificat d’investissement peut être renouvelé à la demande d’un investisseur enregistré. La durée de renouvellement est de cinq (5) ans renouvelables. La demande de renouvellement d’un certificat d’investissement est déposée auprès de l’Office et est soumise au paiement des frais de renouvellement non remboursables. Un arrêté du Ministre détermine les frais de renouvellement non remboursables.

renewal of an investment certificate An application file for renewal of an investment certificate contains the following documents:
1° an application letter to the Head of the Board; 2° a certificate of incorporation; 3° a five-year investment plan that includes at least the following:
a) an estimated investment amount and number of employees; b) detailed information on raw materials sourced in Rwanda or in the locality where the investment is operating; c) detailed information on financing or assets to be sourced abroad, and the timeframe in which the financing or assets will be used;
Article 20: Contenu d’un dossier de
demande de renouvellement d’un certificat d’investissement Le dossier de demande de renouvellement d’un certificat d’investissement contient des documents suivants:
1º une lettre de demande adressée au responsable de l’Office; 2º un certificat de constitution; 3º un plan d’investissement quinquennal qui comprend au moins les éléments suivants:
a) une estimation du montant de l’investissement et le nombre d’employés; b) les informations détaillées sur des matières premières disponibles au Rwanda ou dans la localité du site d’investissement; c) les informations détaillées sur le financement ou les actifs devant provenir de l’étranger et les délais dans lesquels ce financement et ces actifs doivent être utilisés;

Iyo idosiye y’ubusabe yuzuye, Urwego rwongera igihe cy’icyemezo cy’ishoramari kandi rugaha umushoramari wanditswe icyemezo cy’ishoramari kigaragaza igihe cy’inyongera, mu gihe kitarenze iminsi ibiri (2) y’akazi uhereye ku munsi ubusabe bwakiriweho. 4° a report on the implementation of the investment project from the date of issuance of the investment certificate submitted to the Board and a notarised copy of the latest financial report; 5° contact details of the project including physical office and identification and contact details of the registered investor; 6° a notarised copy of the registered investor’s passport or identity card.
Article 21: Consideration of an application
for an investment certificate renewal The Board considers the application for an investment certificate renewal and makes a decision thereon. When the application file is complete, the Board renews an investment certificate and provides a registered investor with an investment certificate indicating the renewal duration, within two (2) working days from the date of receipt of the application. 4º un rapport sur la mise en œuvre du projet d’investissement à partir du jour de la délivrance du certificat d’investissement, transmis à l’Office et une copie notariéedu dernier rapport financier; 5º les coordonnées détaillées du projet, y compris l’emplacement du bureau et l’identification et les coordonnées de l’investisseur enregistré; 6º une copie notariée du passeport ou de la carte d’identité de l’investisseur enregistré.
Article 21: Examen d’une demande de
renouvellement d’un certificat d’investissement L’Office examine la demande de renouvellement de certificat d’investissement et prend la décision à cet égard. Lorsque le dossier de demande est complet, l’Office renouvelle un certificat d’investissement et délivre à un investisseur enregistré un certificat d’investissement indiquant la durée de renouvellement, dansles deux (2) jours ouvrables suivant la réception de la demande.

Article 22: Grounds for cancellation of an
investment certificate An investment certificate is cancelled on one of the following grounds:
1 º if it was issued on the basis of false or fraudulent declarations of the holder; 2 º if there occur material changes detrimental to investment occurred in investment operations; 3 º if the registered investor fails to fulfil his or her obligations provided for by this Law.
Article 23: Procedure for the cancellation of
an investment certificate Prior to cancellation of an investment certificate, the Board issues to the registered investor a written notice providing details of grounds for the proposed cancellation and Lorsque le dossier de demande n’est pas complet, l’Office rejette la demande et en informe par écrit l’investisseur enregistré des motifs de rejet dans les deux (2) jours ouvrables suivant la réception de la demande.
Article 22: Motifs d’annulation d’un

1 º lorsqu’il a été délivré sur base des déclarations fausses ou frauduleuses du titulaire ; 2 º lorsqu’il y a des changements importants dans les activités d’investissement préjudiciables à l’investissement ; 3 º lorsque l’investisseur enregistré ne s’acquitte pas de ses obligations prévues par la présente loi.
Article 23: Procédure d’annulation d’un
certificat d’investissement Avant d’annuler un certificat d’investissement, l’Office donne à l’investisseur enregistré un avis écrit faisant état de détails sur les motifs d’annulation

Article 24: Appeal against a decision of
cancellation of an investment certificate A registered investor may appeal against a decision of cancellation of an investment certificate to the Head of the Board within ten (10) working days from the date of notification of the decision. Le responsable de l’Office statue sur le recours dans les dix (10) jours ouvrables suivant la réception du recours.

Article 25: Effects of cancellation of an
investment certificate If an investment certificate is cancelled on the ground of being issued on the basis of false or fraudulent declarations of the holder, the investor is liable to a refund of an amount of money equivalent to the investmentincentives he or she was accorded in his or her capacity as a registered investor.
CHAPTER IV: OBLIGATIONS OF A
REGISTERED INVESTOR
Article 26: Obligations of a registered
investor
A registered investor has the following obligations:
1º to implement his or her proposal in accordance with the business plan submitted in the application file for registration of investment; 2º to keep financial and accounting records of the investment enterprise and submit a copy of a financial report
Article 25: Effets d’annulation d’un

Article 26: Obligations d’un investisseur

Un investisseur enregistré a les obligations suivantes:
1º exécuter son projet conformément au plan d’affaires déposé dans le dossier de la demande d’enregistrement d’investissement ; 2º tenir les registres financiers et comptables de l’entreprise d’investissement et remettre à l’Office

CHAPTER V: CHANGE, SUSPENSION
AND TERMINATION OF INVESTMENT OPERATIONS
Article 27: Notification to the Board of

In this case, the investor also indicates the duration of the suspension; 3 º he or she terminates investment operations. However, notification of suspension or termination of investment operations to the Board may also be made by an interested person, who is affected by the suspension or termination of investment operations.
Article 28: Measures taken by the Board
after notification of change of investment operations If notified changes materially alter the investment but are not detrimental to the investment and criteria for investment incentives qualification, the Board amendsthe investment certificate to reflect the changes. If changes in the nature of operations do not l’Office dans les trente (30) jours avant que:

CHAPTER VI: TRANSITIONAL AND
FINAL PROVISIONS
Article 29: Period for continuing to benefit
from investment incentives Without prejudice to investment promotion and facilitation measures provided for in this Law, investment incentives that were granted to an investor in accordance with Law no 06/2015 of 28/03/2015 relating to investment promotion and facilitation, which are not provided for by this Law or whose period of validity has not been fixed, remain valid for a twelve (12) months period from the date of the publication of this Law in the Official Gazette of the Republic of Rwanda. However, agreements concluded between the Government of Rwanda and an investor for investment promotion purposes whose period of validity has been fixed, remain valid until the expiry of their period of validity. d’investissement n’affectent pas substantiellement les engagements de l’investisseur, ces changements sont seulement enregistrés dans le dossier de l’investisseur. bénéficier d’incitants à l’investissement Sans préjudice des mesures de promotion et de facilitation des investissements prévues par la présente loi, les incitants à l’investissement qui étaient accordés à l’investisseur conformément à la Loi nº 06/2015 du 28/03/2015 portant promotion et facilitation des investissements, alors qu’ils ne sont pas prévus par la présente loi ou dont la durée de validité n’a pas été fixée, restent valables pour une période de douze (12) mois à partir du jour de la publication de la présente loi au Journal Officiel de la République du Rwanda. Toutefois, les accords conclus entre le Gouvernement du Rwanda et l’investisseur à des fins de promotion d’investissement dont la durée de validité a été fixée, restent valables jusqu’à l’expiration de leur durée de validité.

This Law comes into force on the date of its publication in the Official Gazette of the Republic of Rwanda.

a) to invest the equivalent of at least ten million United States Dollars (USD 10,000,000) in both tangible or intangible assets in Rwanda; b) to provide employment and training to Rwandans;

ubucuruzi; c) to conduct international financial transactions equivalent to at least five million United States Dollars (USD 5,000,000) a year for commercial operations through a licensed commercial bank in Rwanda; d) to be well experienced in the sector within which it operates; e) to spend the equivalent of at least two million United States Dollars (USD 2,000,000) per year in Rwanda; f) to set up actual and effective administration and coordination of operations in Rwanda and perform at least three (3) of the following services in Rwanda:
i. procurement of raw
materials components or finished products;
ii. strategic planning and

2º an entity registered in Rwanda by a philanthropic investor, upon approval by the Private Investment Committee.
II. Preferential corporate income
tax rate of three per cent (3%) 1 º A preferential corporate income tax rate of three per cent (3%) is granted to a registered investor licensed to

a) total net assets consolidated in Rwanda not less than one million United States Dollars (USD 1,000,000); b) annual expenditure in Rwanda of at least fifteen thousand United States Dollars (USD 15,000); c) a physical office of the companyin Rwanda; d) at least thirty per cent (30%) of the professional staff are Rwandan; e) at least twenty-five per cent (25%) of the directors reside in Rwanda; f) at least fifty per cent (50%) of the Board of Directors members are physically present in Rwanda for the meetings of the Board of Directors, in circumstances where investisseur enregistré autorisé à opérer en tant que société purement holding, lorsqu’il remplit les conditions requises suivantes:

A meeting held by this means is deemed valid if at least fifty per cent (50%) of the Board Directors are in attendance; g) meetings of the Board of Directors for strategic decisions are held in Rwanda; h) resolutions of the Board of Directors are kept in Rwanda for safe keeping; i) at least two (2) professional or qualified Rwandan resident members of the Board of Directors. 2 º A preferential corporate income tax rate of three per cent (3%) is granted to a special purpose vehicle registered for investment purpose, if it fulfils the following requirements:

Une liste détaillée des biens et services à acquérir localement est transmise à l’Administration fiscale; 3 º une exonération de l’impôt sur le revenu est appliquée aux ressortissants étrangers recrutés par l’entité qui résident habituellement au Rwanda, à condition que les ressortissants étrangers ne dépassent pas trente pour cent (30%) des professionnels employés de l’entité. Les employés étrangers ont droit au remboursement des cotisations versées à la sécurité sociale lorsqu’ils quittent définitivement le Rwanda.

IV. Preferential corporate income
tax rate of fifteen per cent (15%) A preferential corporate income tax rate of fifteen per cent (15%) is granted to the following investors:
1° a registered investor undertaking one of the following operations: energy generation, transmission and distribution from peat, solar, geothermal, hydro, biomass, methane and wind. This incentive excludes an investor having an engineering procurement contract executed on behalf of the Government of Rwanda; 2° a registered investor in the sector of transport of goods and related activities whose business is operating a fleet of at least five (5) trucks registered in the investor’s name, each with a capacity of at least twenty (20) tons; 3° a registered investor operating in mass transportation of passengers and goods

Cette incitation exclut un investisseur ayant un contrat d’approvisionnement pour des services d’ingénierie exécuté au nom du Gouvernement du Rwanda ; 2° un investisseur enregistré dans le secteur du transport des biens et autres activités connexes qui exploitent une flotte d’au moins cinq (5) camions enregistrés en son nom, chacun avec une capacité d’au moins vingt (20) tonnes ; 3° un investisseur enregistré dans le secteur du transport de passagers et des

V. Preferential corporate income
tax rate for export investments The following preferential corporate income tax rates for export investments apply to registered investors exporting goods and services:

VI. Exemption from customs taxes
and duties for products used in export processing zones A registered investor investing in products used in export processing zones is exempted from customs taxes and duties in accordance with provisions of the East African Community Customs Management Act. VIII. Gukurirwaho gutanga umusoro
ku nyungu z’amasosiyete mu gihe cy’imyaka irindwi (7) Umushoramari wanditswe, uretse foreign market, salary costs of employees stationed in foreignmarket, analysis of market opportunities, supply chain and entry requirements. The Commissioner General of Rwanda Revenue Authority in consultation with the Head of the Board approves qualifying expenditures relating to internationalisation. Eligible registered investors receive pre￾approval of qualifying expenditures through a joint review process administered by the Rwanda Revenue Authority, the Board, and the Ministry in charge of trade. An eligible registered investor may claim the tax deduction on a maximum of one hundred thousand United States Dollars (USD 100,000) of qualifying expenditures in each year.
VIII. Corporate income tax holiday of
up to seven (7) years
A registered investor, except for investors in d’établissement d’une entité juridique sur un marché étranger, les coûts salariaux des employés en poste sur le marché étranger, l’analyse des opportunités du marché, la chaîne d’approvisionnement et les conditions d’entrée. Le Commissaire Général de l’Office Rwandais des Recettes en consultation avec le responsable de l’Office approuve les dépenses admissibles liées à l’internationalisation. Les investisseurs enregistrés éligibles reçoivent une approbation préalable des dépenses admissibles par voie d’un processus géré par l’Office Rwandais des Recettes, l’Office et le ministère chargé du commerce. Un investisseur enregistré éligible peut demander une déduction d’impôt des dépenses admissibles pour chaque année équivalente au maximum à cent mille dollars américains (100.000 USD).

The fifty million United States Dollars (USD 50,000,000) are fully invested within a maximum period of seven (7) years. The corporate income tax holiday commences from the first year following the year in which the fifty million United States Dollars (USD 50,000,000) has been fully invested:
1 º energy projects producing at least twenty-five megawatts (25 MW). This incentive excludes a registered investor having an engineering procurement contract executed on behalf of the Government of Rwanda and fuel produced energy; 2 º manufacturing; investisseurs en capital-investissement et en capital-risque, qui investit l’équivalent d’au moins cinquante millions de dollars américains (50.000.000 USD) et dont au moins trente pour cent (30%) de cet investissement est sous forme de capitaux propres dans les secteurs indiqués ci-dessous se voit accorder une dispense fiscale sur les bénéfices des sociétés pendant sept (7) ans maximum. nyungu z’amasosiyete mu gihe cy’imyaka itanu (5) Umutunganyantara w’ibyanya byo guhanga udushya byihariye cyangwa ibyanya byihariye mu by’inganda akurirwaho gutanga umusoro ku nyungu z’amasosiyete mu gihe ntarengwa 3 º tourism; 4 º health; 5 º information and communication technology with an investment involving manufacturing, assembly and service. This incentive excludes communication, information and communication technology retail and wholesale trade and information and communication technology repair companies or enterprises and telecommunication companies; 6 º export related investment projects; 7 º an investor registered in another priority sector as may be determined by an Order of the Minister.
IX. Corporate income tax holiday of
up to five (5) years
A specialized innovation park developer or a specialized industrial park developer is entitled to a corporate income tax holiday of a period of five (5) years maximum from the 3 º le tourisme ; 4 º la santé ; 5 º les technologies de l’information et de la communication avec un investissement dans les domaines de la fabrication, le montage et les services. A preferential withholding tax of zero percent (0%) is applicable to dividends, interest and royalties paid by investors benefiting from preferential corporate income tax of fifteen per cent (15%) and three per cent (3%) pursuant to
section II and IV paragraph 7 of this annex.
XI. Preferential withholding tax of
five per cent (5%)
A preferential withholding tax of five per cent (5%) is applicable to dividends and interest maximum de cinq (5) ans la première année où le projet génère un revenu net positif. A preferential withholding tax of ten per cent (10%) is applicable to specialised innovation park developers or specialised industrial park developers on interest on foreign loans, dividends, royalties, and a service fees, including management and technical service fees.
XIII. Incentives for specialized

This incentive is applicable under the following conditions:

XIV. Incentives for Start-ups
With the exception of private equity and venture capital funds, angel investors investing a maximum of five hundred thousand United States Dollars (USD 500,000) in a start-up is eligible for:
a) exemption from capital gains tax upon the sale of shares, provided the shares were initially purchased as a primary equity issuance by the start-up; b) exemption from withholding tax applicable to dividends paid for five (5) dividend issuances by the start-up. Investments remains in the start-up for a minimum period of two (2) years. XVII. Preferential tax incentives for
film industry investors A registered film investor involved in the following activities is entitled to the following incentives:
1° value added tax is zero-rated (0%) for goods and services procured locallyby the investor; 2° a preferential withholding tax zero per cent (0%) is applicable to foreign specialised services procured by the investor. A list of the qualifying foreign specialised services is jointly approved by the Rwanda Film Office and the Rwanda Revenue Authority. The following film investors are eligible for the above incentives:
1 º a domestic film investor registered as an investor with an investment project involved in the production of an eligible film, animation, or television

XVIII. Exemption from capital gains
tax
A registered investor does not pay capital gains tax. However, income derived from the sale of a commercial immovable property is included in the taxable income of theinvestor.
XIX. Value added tax refund
The refund of the value added tax paid by investors is made within a period not exceeding fifteen (15) days upon receipt of the relevant documents by the Tax Administration. However, this does not reply to any registered investors who are in value added tax exempted sectors of business.
XX. Accelerated depreciation
A registered investor is entitled to a flat accelerated depreciation rate of fifty per cent (50%) for the first year for new or used assets, if he or she meets the following criteria:
1 º to invest in business assets worth at least fifty thousand United States
XVIII. Exonération de l’impôt sur la

Le remboursement de la taxe sur la valeur ajoutée payée par les investisseurs se fait dans un délai ne dépassant pas quinze (15) jours suivant la réception des documents y relatifs par l’Administration fiscale. Toutefois, elle ne répond pas aux investisseurs enregistrés qui sont dans des secteurs d’activité exonérés de la taxe sur la valeur ajoutée.
XX. Amortissement accéléré
Un investisseur enregistré a droit à un amortissement accéléré forfaitaire de cinquante pour cent (50%) pour la première année pour des biens nouveaux ou usagés lorsqu’il remplit les critères ci-dessous :
1 º investir dans des actifs commerciaux d’une valeur d’au moins cinquante

Iyo umushoramari yikuyeho iyo mitungo mbere y’uko imyaka itatu (3)irangira, yishyura ikinyuranyo i) construction projects worth at least one million eight hundred thousand United States dollars (USD 1,800,000); j) other sectors if the investment is worth at least one hundred thousand United States Dollars (USD 100,000); k) other priority sector as may be determined by an Order of the Minister; l) to meet the obligations defined below:
i. to keep the assets for at least
three (3) years after benefiting from the accelerated depreciation;
ii. to inform the Commissioner
General of the Rwanda
Revenue Authority of the disposal of the business assets in case the disposal is made before three (3) years. However, the investor is not liable to pay any amount if it is determined that the disposal was the effect of natural calamities, hazards or any other involuntary reason.
XXI. Talent attraction incentives
Start-up founders and innovative entrepreneurs who are foreigners and their dependents are eligible for a two (2) year entrepreneurship visa to start a business in Rwanda in accordance with the relevant laws. Qualifying international students from qualifying higher institutions of learning are eligible for a two (2) year talent visa commencing from the date of completion of their studies. The eligibility criteria for students and institutions is determined by réduction de l’impôt sur les bénéfices des sociétés résultant de l’amortissement accéléré et les intérêts et pénalités de retard le cas échéant. Toutefois, l’investisseur ne paie aucun montant lorsqu’il est constaté que cette disposition est l’effet des catastrophes naturelles, des accidents ou d’autre raison involontaire.
XXI. Incitants à attirer les talents
Les fondateurs des sociétés commerciales naissantes et les entrepreneurs innovants qui sont des étrangers et les personnes à leur charge sont éligibles pour un visa d’entrepreneur de deux (2) ans pour démarrer une entreprise au Rwanda conformément à la législation en la matière. Les étudiants internationaux issus d’établissements d’enseignement supérieur qualifiés bénéficient d’un visa de talent de deux (2) ans à compter de la date d’achèvement de leurs études. Qualifying remote workers in priority professional fields are eligible for a two (2) year visa allowing them to live in Rwanda and legally work for an employer registered abroad or their own company. The eligibility criteria are determined by relevant laws. A company, which has established its headquarters or regional office in Rwanda, is entitled to recruit any required managerial, professional and technical foreign employees who will be eligible to be issued with work permits, provided that it continues to meet the requirements provided for by this Law andthe following requirements:
1° the company is a talent intensive business operating in a high value sector such as information and communication and technology, innovation and related sectors; 2° at least thirty per cent (30%) of the company’s professional staff are sont déterminés par la législation en la matière. XXII. Immigration incentives
A registered investor who invests an equivalent of at least two hundred fifty thousand United States Dollars (USD 250,000) may recruit three (3) foreign employees without necessarily demonstrating that their skills are lacking or insufficient on the labour market in Rwanda.
