Capital Markets Corporate Governance Guidelines (2003)

The Capital Markets Authority of Uganda issued these 2003 guidelines to establish minimum corporate governance standards for listed companies and corporate debt issuers. The framework mandates balanced board composition with at least one-third independent or non-executive directors, clear separation of chair and chief executive roles, robust audit committees, and equitable shareholder rights. Listed entities must integrate these best practices into their continuing listing obligations and disclose any departures directly within their annual reports.
