That, regarding this, having the Issuer presented its defenses within the period granted for the presentation of defenses, it corresponds to indicate that the voluntary declaration of recognition of the infraction by the Issuer is reputed as a condition of mitigating responsibility, so that when the applicable sanction is a fine, it is reduced by fifty percent (50%) if the recognition is presented within the period granted to present defenses, according to numeral 1 of literal a) of article 26 of the Sanctions Regulation, concordant with literal a) of numeral 2 of article 257 of the TUO of the LPAG, which will be considered at the moment of the determination of the sanction;

That, in order to determine the sanction to be imposed on the Issuer for the non-compliance referred to the untimely communication of material facts, the Gradual Regime of Sanctions for untimely presentation of financial information, annual report and material facts (hereinafter, Gradual Regime of Sanctions), approved by SMV Resolution No. 007-2023-SMV/01 must be taken into account;
That, in application of the aforementioned norms, it proceeds to evaluate the following:
That, with respect to the gravity of the damage to the public interest and/or protected legal good, it must be indicated that the timely presentation of periodic or eventual information by issuers of securities registered in the RPMV constitutes a fundamental obligation in the transparency of the securities market, so that market participants can make their investment decisions adequately informed. That, regarding the sanction antecedents, literal a) of article 25 of the Sanctions Regulation states that the antecedents of the infringer are the final sanctions imposed by the SMV within four (04) years prior to the moment of the commission of the infraction to be sanctioned. Likewise, the commission of the same infraction in the year prior to the infraction to be sanctioned is not considered as antecedents. On the other hand, the Gradual Regime of Sanctions states that "The amount resulting from the application of the guidelines contemplated in numeral 6.2 can be increased up to five percent (5%) if it is accredited that the infringing subject has sanction antecedents", without making distinction on whether they correspond to different or the same type of infraction. Therefore, it is considered that the application of the new normativity will increase one percent (1%) for each sanction resolution that constitutes the antecedent up to a maximum of five percent (5%). On this particular, from the verification carried out in the SMV Sanctions System, it has been determined that the Issuer does not have sanction antecedents, as has been detailed in the Report;
That, regarding recidivism for the commission of the same infraction, literal b) of article 25 of the Sanctions Regulation states that to determine recidivism for the commission of the same infraction, the final sanction imposed by the SMV within a period of one (01) year prior to the commission of the infraction to be sanctioned is taken into account. On the other hand, the Gradual Regime of Sanctions establishes in numeral 5.2 that "Recidivism is considered to exist, if during the year prior to the commission of the infraction to be sanctioned, one has been sanctioned for an infraction of the same nature as the one intended to be sanctioned, provided that said sanction has become final during said period", likewise, for the purpose of determining recidivism as an aggravating factor, a quantum of up to 10% has been established that would be added to the proposed fine, if it is verified that the infringer is a recidivist. Regarding this, it has been verified that the Issuer is not a recidivist, as has been detailed in the Report;
That, with respect to the circumstances of the commission of the infraction, it must be stated that, from the verification of the information disseminated by the issuers on the Institutional Page of the SMV, it is adviced that the untimely communication of the material fact of the General Shareholders' Meeting held on December 2, 2024 in which no agreement was reached on the agenda items, a fact that they should have communicated on the same day it occurred; however, it was communicated on December 4, 2024 (with two (02) calendar days of delay).
