Agreement Modifying Article 7 of the Organic Regulation of the National Bank of the Army, Air Force and Navy to Increase Social Capital

ACUERDO by which Article 7 is modified

AGREEMENT BY WHICH ARTICLE 7, FIRST AND SECOND PARAGRAPHS OF THE ORGANIC REGULATION OF THE NATIONAL BANK OF THE ARMY, AIR FORCE AND NAVY, NATIONAL CREDIT SOCIETY, DEVELOPMENT BANKING INSTITUTION, ARE MODIFIED, TO INCREASE ITS SOCIAL CAPITAL.

ROGELIO EDUARDO RAMÍREZ DE LA O, Secretary of Finance and Public Credit, based on articles 31, fractions VII and XXXII of the Organic Law of the Federal Public Administration; 30, second and last paragraphs and 38, first paragraph of the Credit Institutions Law, in exercise of the powers conferred upon me by article 6o., fraction XXI of the Internal Regulation of the Ministry of Finance and Public Credit, and

CONSIDERING

That the Honorable Congress of the Union, through a Decree published in the Official Gazette of the Federation on January 13, 1986, issued the Organic Law of the National Bank of the Army, Air Force and Navy.

That the Ministry of Finance and Public Credit issued the Organic Regulation of the National Bank of the Army, Air Force and Navy, National Credit Society, Development Banking Institution, published in the Official Gazette of the Federation on April 2, 1991 and reformed through Agreements published in the same official medium on January 22, 1992, March 23, 1994, February 13, 1995, October 7, 1996, July 9, 2003, June 6, 2008, September 7, 2012, August 25, 2015 and June 30, 2020.

That based on the provisions of articles 38, first paragraph and 42, fraction XIII of the Credit Institutions Law, the Board of Directors of the National Bank of the Army, Air Force and Navy, National Credit Society, Development Banking Institution, in its ordinary session number 2,434 held on August 01, 2023, approved proposing to the Ministry of Finance and Public Credit the increase of social capital by the amount of $20,304,879,217.55 (twenty thousand three hundred four million eight hundred seventy nine thousand two hundred seventeen pesos 55/100 M.N.) with which it passes from $22,614,173,001.80 (twenty two thousand six hundred fourteen million one hundred seventy three thousand one pesos 80/100 M.N.) to $42,919,052,219.35 (forty two thousand nine hundred nineteen million fifty two thousand two hundred nineteen pesos 35/100M.N.).

That the National Bank of the Army, Air Force and Navy, National Credit Society, Development Banking Institution, based on the provisions of articles 38, first paragraph and 42, fraction XI, both of the Credit Institutions Law, and through official letter TUF/146/2023 dated September 20, 2023, has requested this Ministry to modify the Organic Regulation of the Society, in order to consider the increase in social capital established in the preceding paragraphs.

That since based on the provisions of articles 38, first paragraph of the Credit Institutions Law and 7o., first paragraph of the Organic Regulation of the National Bank of the Army, Air Force and Navy, National Credit Society, Development Banking Institution, it corresponds to the Ministry of Finance and Public Credit to issue the Organic Regulation of said National Credit Society in which the bases according to which its organization and functioning will be governed are established, it has been pleased to issue the following:

Agreement 134/2024

UNIQUE.- The first and second paragraphs of article 7o. of the Organic Regulation of the National Bank of the Army, Air Force and Navy, National Credit Society, Development Banking Institution, published in the Official Gazette of the Federation on April 2, 1991, reformed through Agreements published in the same medium of dissemination on January 22, 1992, March 23, 1994, February 13, 1995, October 7, 1996, July 9, 2003, June 6, 2008, September 7, 2012, August 25, 2015 and June 30, 2020, are reformed, to read as follows:

"Article 7o.- The social capital of the National Bank of the Army, Air Force and Navy, National Credit Society, Development Banking Institution, is $42,919,052,219.35 (forty two thousand nine hundred nineteen million fifty two thousand two hundred nineteen pesos 35/100 M.N.).

Such social capital will be represented by 2,832,657,447 (two thousand eight hundred thirty two million six hundred fifty seven thousand four hundred forty seven) equity contribution certificates of Series "A", with a nominal value of $10.00 (ten pesos 00/100 M.N.) each, paid and paid, and by 1,459,247,775 (one thousand four hundred fifty nine million two hundred forty seven thousand seven hundred seventy five) nominative equity contribution certificates of Series "B", with a nominal value of $10.00 (ten pesos 00/100 M.N.) each, paid, unpaid.

TRANSITORY CLAUSES

FIRST.- This Agreement will enter into force the day following its publication in the Official Gazette of the Federation.

SECOND.- In accordance with what is established in articles 30, last paragraph and 38, first paragraph of the Credit Institutions Law, the National Bank of the Army, Air Force and Navy, National Credit Society, Development Banking Institution, must register in the Public Commerce Registry the modifications that by virtue of this Agreement are made to its Organic Regulation.
