Rule · BSEC · 20 Dec 2011
The Securities and Exchange Commission amends the 1996 Rules to define 'Board of Directors' and 'Managing Director/CEO' and introduces a new Chapter IX governing the appointment, removal, and powers of the Managing Director/CEO of merchant bankers. The amendment mandates that appointments require prior Commission approval, sets a three-year renewable term with a mandatory retirement age of 66, and prohibits conflicts of interest with stock exchanges or issuers. It further outlines the CEO's authority to enforce regulations, supervise operations, serve on board committees (excluding disciplinary ones), and submit reports, while excluding subsidiaries of state-owned banks from these specific provisions.
