Stefan cel Mare și Sfânt Blvd, no. 77, Chisinau municipality, MD 2012, tel: (373 22) 859 401, www.cnpf.md, e-mail: office@cnpf.md DECISION 21 July 2026 No. 36/6 Regarding the authorization of the reorganization of the Joint Stock Company "FERARU-S" from a joint stock company into a Limited Liability Company "FERARU-S" Following the examination of the request of the Joint Stock Company "FERARU-S" (registered with the National Commission for the Financial Market (CNPF) under no. 5626 on 06.07.2026) regarding the authorization of reorganization by transformation, as well as its related documents, based on art. 92 and art. 97 of Law no. 1134/1997 on joint stock companies, art. 204 and art. 222 of the Civil Code, art. 21 para. (1) lit. g) of Law no. 220/2007 on state registration of legal entities and individual entrepreneurs, art. 18 para. (3), art. 20 para. (1) and para. (6) and art. 22 para. (3) of Law no. 192/1998 on the National Commission for the Financial Market, points 9 and 19 of the Regulation on the authorization of the reorganization of joint stock companies (CNPF Decision no. 23/1/2021), points 16, 19 and 21 of the Regulation on the organization and functioning of the National Commission for the Financial Market (CNPF Decision no. 57/11/2022), The National Commission for the Financial Market DECIDES:

1. The reorganization of the Joint Stock Company "FERARU-S" (IDNO 1003600166948, MD-2004, Chisinau municipality, Nicolae H. Costin street 3, apt. (off.) 9) by transformation into a Limited Liability Company "FERARU-S" is authorized.
2. This Decision may be challenged by submitting a prior request to the CNPF (MD-2012, Chisinau municipality, Stefan cel Mare și Sfânt Blvd, no. 77), within 30 days from the date of communication.
3. This Decision enters into force on the date of adoption, is communicated to the recipient according to legislation, and is published in the Official Monitor of the Republic of Moldova and on the official website of the CNPF (www.cnpf.md).
